Common use of Notice to Noteholders Clause in Contracts

Notice to Noteholders. Notices to a Noteholder will be considered received by the Noteholder: (i) for Definitive Notes, for overnight mail, on delivery or, for registered first class mail, postage prepaid, three days after deposit in the mail properly addressed to the Noteholder at its address in the Note Register; or (ii) for Book-Entry Notes, when delivered under the procedures of the Clearing Agency, whether or not the Noteholder actually receives the notice.

Notices to a Noteholder will be considered received by the Noteholder: given (i) for Definitive Notes, for when sent by overnight maildelivery, on delivery or, for mailed by registered first class mail, postage prepaid, three days after deposit in the mail properly addressed or sent by fax, to the address for that Noteholder at its address specified in the Note Register; or Register and (ii) for Book-Entry Notes, when delivered under the procedures of the Clearing Agency. Any notice mailed within the time stated in this Indenture will be deemed given, whether or not the Noteholder actually receives the notice.
