Common use of Notices and Directions Clause in Contracts

Notices and Directions. Whenever a notice or direction is given by ----------------------- the Committee to the Trustee, it shall be in the form required by Section 2.1. Actions by the Company shall be by the Board or a duly authorized officer, with such actions certified to the Trustee by an appropriately certified copy of the action taken. The Trustee shall be protected in acting upon any such notice, resolution, order, certificate or other communication believed by it to be genuine and to have been signed by the proper party or parties. Notices to Participants and/or Beneficiaries as required under this Master Trust Agreement shall be deemed to have been given if to such parties' last recorded address on the records of the Trustee, or, if given by facsimile or by telephone followed by receipt of a signed acknowledgment in writing by the Trustee.
