Common use of Notices of Adjustment Clause in Contracts

Notices of Adjustment. Whenever the number of Warrant Shares or the Exercise Price is adjusted as herein provided, the Company shall prepare and deliver forthwith to the Warrantholder a certificate signed by its President, and by any Vice President, Treasurer or Secretary, setting forth the adjusted number of shares purchasable upon the exercise of this Warrant and the Exercise Price of such shares after such adjustment setting forth a brief statement of the facts requiring such adjustment, and setting forth the computation by which such adjustment was made.
