Common use of Notification of Certain Events Clause in Contracts

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claim; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Agent advised in writing on a regular basis and in such detail as the Agent shall reasonably require of the Owner’s or any other person’s response to any of those events or matters.

The Borrower shall procure that each Owner shall, upon becoming aware of the same, shall immediately notify the Agent Lender by faxemail, confirmed forthwith by letter, letter immediately upon becoming aware of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement requirement, condition or overdue recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its termswithin the time limits imposed by that insurer or classification society or authority; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Owner, the Approved Managers or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the that Owner’s, each Approved Manager’s or any other person’s response to any of those events or matters.

The Each Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Security Trustee by faxfax or email, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it condition made by any insurer or classification society the Approved Classification Society or by any competent authority which is not complied with in accordance with its termswithin the specified time; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner any Security Party or either Borrower or in connection with the Ship owned by iteither Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or Code, the ISPS Code Code, any Environmental Laws or Sanctions being made against that Owner Borrower, the Approved Ship Manager, any Approved Sub-Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or Code, the ISPS Code Code, any Environmental Laws or Sanctions not being complied with, ; and the that Borrower shall procure that each Owner shall keep the Agent Security Trustee advised in writing on a regular basis and in such detail as the Agent Security Trustee shall reasonably require of either Borrowers’, the OwnerApproved Ship Manager's, the Approved Sub-Manager’s or any other person’s 's response to any of those events or matters.

The Borrower shall procure that each Owner shall, upon becoming aware of the same, shall immediately notify the Agent Security Trustee by faxfax or email, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it condition made by any insurer or classification society the Approved Classification Society or by any competent authority which is not complied with in accordance with its termswithin the specified time; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner any Security Party or the Borrower or in connection with the Ship owned by iteither Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or Code, the ISPS Code Code, any Environmental Laws or Sanctions being made against that Owner Owner, the Approved Ship Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or Code, the ISPS Code Code, any Environmental Laws or Sanctions not being complied with, ; and the Borrower shall procure that each Owner shall keep the Agent Security Trustee advised in writing on a regular basis and in such detail as the Agent Security Trustee shall reasonably require of the Borrower’s, any Owner’s, the Approved Ship Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, shall immediately notify the Agent Security Trustee by fax, confirmed forthwith by letter, fax of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it recommendation, made by any insurer or classification society or by any competent authority which is not complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by itit which is scheduled to last 10 running days or more or is in respect of maintenance or repairs at a cost in excess of $1,000,000; (f) any Environmental Claim made against that the Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Owner, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Agent Security Trustee advised in writing on a regular basis and in such detail as the Agent Security Trustee shall reasonably require of that Owner's, the Owner’s Approved Manager's or any other person’s 's response to any of those events or matters.

The Borrower shall procure that each Owner shalland each Buyer, upon becoming aware of the same, each Buyer shall immediately notify the Agent Lender by fax, confirmed forthwith by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship or, as the case may be, the New Ship, owned by it or has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (d) any arrest or detention of that Ship or, as the Ship owned by itcase may be, New Ship, any exercise or purported exercise of any lien on that Ship or, as the case may be, New Ship or its her Earnings or any requisition of that Ship or, as the case may be, New Ship for hire; (e) any intended dry docking of that Ship or, as the Ship owned by itcase may be, New Ship; (f) any Environmental Claim made against that Owner or in connection with that Ship or, as the Ship owned by itcase may be, New Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner or as the case may be, Buyer, the Approved Manager or otherwise in connection with that Ship or, as the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimcase may be, New Ship; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, with and the Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the Owner’s or, as the case may be, the Buyer’s, the Approved Manager’s or any other person’s response to any of those events or matters.

The Each Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Lender by fax, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by itit which is not lifted within forth eight (48) hours, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the that Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of that Borrower's, the Owner’s Approved Manager's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by faxelectronic mail, confirmed forthwith by letter, letter of: (a) any casualty relating to the that Ship owned by it which is or is likely could reasonably be expected to be or to become a Major Casualty;; ​ ​ (b) any occurrence as a result of which the that Ship owned by it has become or iscould reasonably be expected, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the Ship owned by itthat Ship, any exercise or purported exercise of any lien on that Ship or its the Earnings or any requisition of that Ship for hire; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the each Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Owneras to that Borrower’s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, shall immediately notify the Agent Security Trustee by fax, confirmed forthwith by letter, fax of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by itit which is scheduled to last 10 running days or more or is in respect of maintenance or repairs at a cost in excess of $1,000,000; (f) any Environmental Claim made against that the Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Owner, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Agent Security Trustee advised in writing on a regular basis and in such detail as the Agent Security Trustee shall reasonably require of that Owner's, the Owner’s Approved Manager's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Borrower Each Obligor that owns a Ship shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Facility Agent by fax, confirmed forthwith by letter, in writing of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship or Ships owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society Classification Society or by any competent authority which is not complied with in accordance with its terms; (d) any arrest or detention of the Ship or Ships owned by it, any exercise or purported exercise of any lien on that Ship or its her Earnings or any requisition of that the Ship for hire; (e) any intended unscheduled dry docking of the Ship or Ships owned by it; (f) any Environmental Claim made against that Owner the Borrower or in connection with the Ship or Ships owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner such Obligor, the relevant Approved Manager or otherwise in connection with the Ship or Ships owned or managed by it and which is not remedied or resolved within 14 days of (as the making of any such claimcase may be); or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period will or could in the reasonable opinion of 14 days, such Obligor lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner such Obligor shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Ownersuch Obligor’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming as soon as it becomes aware of any of the sameevents referred to in this Clause 15.12, immediately notify the Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its termsterms (including, without limitation, any time limit specified by any insurer or classification society or any competent authority); (d) any arrest or detention of the Ship owned by itit (if the arrest or detention has not been released within 3 Business Days of its imposition or the Borrower or the relevant Owner considers that the arrest or detention will not be released within 3 Business Day of its imposition), any exercise or purported exercise of any lien on that Ship or its her Earnings or her Insurances or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by itit which the Owner knows, or reasonably determines, will or may exceed (or has exceeded) 10 days in total; (f) any Environmental Claim made against that Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner and, to the extent that that Owner is aware of such claim, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, threatened the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, ; and the Borrower shall procure that each that Owner shall keep the Agent advised in writing on a regular basis and in such detail as the Agent shall reasonably require of the that Owner’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Agent Lender by faxfax or email, confirmed forthwith by letter, of: (a) any casualty relating to the that Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the that Ship owned by it, or any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hirethe Earnings; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claim; orthat Ship; (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, (j) any notice, or such Borrower becoming aware, of any claim, action, suit, proceeding or investigation against any Transaction Obligor, any of its Subsidiaries or any of their respective directors, officers, employees or agents with respect to Sanctions; or (k) any circumstances which could give rise to a breach of any representation or undertaking in this Agreement, or any Event of Default, relating to Sanctions, and the each Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the Owner’s as to that Borrower's, any such Approved Manager's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Agent Lender by faxfax or email, confirmed forthwith by letter, of: (a) any casualty relating to the that Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the that Ship owned by it, or any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hirethe Earnings; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claim; orthat Ship; (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, (j) any notice, or such Borrower becoming aware, of any claim, action, suit, proceeding or investigation against any Transaction Obligor, any of its Subsidiaries or any of their respective directors, officers, employees or agents with respect to Sanctions; or (k) any circumstances which could give rise to a breach of any representation or undertaking in this Agreement, or any Event of Default, relating to Sanctions, and the each Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the Owneras to that Borrower’s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower (or the relevant Owner as the case may be) shall procure that each Owner shall, promptly upon becoming aware of any of the same, immediately following notify the Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the a Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society Classification Society or by any competent authority which is not complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by ita Ship, any exercise or purported exercise of any lien on that any Ship or its Earnings or any requisition of that a Ship for hire; (e) any intended dry docking of the a Ship owned by itother than a routine dry docking; (f) any Environmental Claim made against that the Borrower or an Owner or in connection with the Ship owned by ita Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner an Owner, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claima Ship; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, ; and the Borrower shall procure that each (or the relevant Owner as the case may be) shall keep the Agent advised in writing on a regular basis and in such detail as the Agent shall reasonably require of the Owner’s, the Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, shall immediately notify the Agent Lender by faxemail, confirmed forthwith by letter, letter immediately upon becoming aware of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement requirement, condition or overdue recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its termswithin the time limits imposed by that insurer or classification society or authority; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that the Ship or its Earnings or any requisition of that the Ship owned by it for hire; (e) any intended dry docking of the Ship Shi owned by itit p; (f) any Environmental Claim made against that the relevant Owner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner the relevant Owner, the Approved Managers or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the relevant Owner’s 's, each Approved Manager's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the that Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the that Ship owned by it, or any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hirethe Earnings; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with; (j) any notice, or such Borrower becoming aware, of any claim, action, suit, proceedings or investigation against any Transaction Obligor, any of its Subsidiaries or any of their respective directors, officers, employees or agents with respect to Sanctions; or (k) any circumstances which could give rise to a breach of any representation or undertaking in this Agreement, or any Event of Default, relating to Sanctions, and the each Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Owneras to that Borrower’s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by fax, confirmed forthwith by letter, letter of: (a) any casualty relating to the that Ship owned by it which is or is likely could reasonably be expected to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or iscould reasonably be expected, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the Ship owned by itthat Ship, any exercise or purported exercise of any lien on that Ship or its the Earnings or any requisition of that Ship for hire; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the each Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Owneras to that Borrower’s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the that Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the that Ship owned by it, or any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hirethe Earnings; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with; (j) any notice, or such Borrower becoming aware, of any claim, action, suit, proceedings or investigation against any Transaction Obligor, any of its Subsidiaries or any of their respective directors, officers, employees or agents with respect to Sanctions Laws; or (k) any circumstances which could give rise to a breach of any representation or undertaking in this Agreement, or any Event of Default, relating to Sanctions Laws, and the each Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Owneras to that Borrower’s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by faxemail, confirmed forthwith by letter, of: (a) any casualty relating to the that Ship owned by it which is or is likely to be or to may reasonably become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the that Ship owned by it, or any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hirethe Earnings; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Owner, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require (acting on the instructions of the OwnerMajority Lenders) as to that Owner ‘s, any such Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower Each Shipowner shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Lender by fax, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner Shipowner or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Shipowner, the Approved Manager or a Bareboat Charterer (as the case may be) or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the Borrower shall procure that each Owner Shipowner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of that Shipowner's, the Owner’s Approved Manager's, a Bareboat Charterer's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent by fax, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the any Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any overdue requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (d) any arrest or detention of the Ship owned by ita Ship, any exercise or purported exercise of any lien on that any Ship or its Earnings or any requisition of that a Ship for hire; (e) any intended dry docking of the a Ship owned by itother than a routine dry docking; (f) any Environmental Claim made against that Owner the Borrower or in connection with the Ship owned by ita Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner the Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claim; ora Ship; (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, with or and the Borrower shall procure that each Owner shall keep the Agent advised in writing on a regular basis and in such detail as the Agent shall reasonably require of the OwnerBorrower’s, the Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware in respect of the sameShip owned by it, immediately notify the Facility Agent by fax, confirmed forthwith by letter, letter of: (a) any casualty relating to the that Ship owned by it which is or is likely could reasonably be expected to be or to become a Major Casualty; (b) any occurrence as a result of which the that Ship owned by it has become or iscould reasonably be expected, by the passing of time or otherwise, likely to become a Total Loss; (c) any requisition of that Ship for hire; (d) any requirement or recommendation made in relation to the that Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (de) any arrest or detention of the Ship owned by itthat Ship, any exercise or purported exercise of any lien on that Ship or its the Earnings or any requisition of that Ship for hire; (ef) any intended dry docking of the Ship owned by itthat Ship; (fg) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by itthat Ship, or any Environmental Incident in an amount exceeding $1,000,000Incident; (gh) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, an Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimthat Ship; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the each Borrower shall procure that each Owner shall keep the Facility Agent advised in writing on a regular basis and in such detail as the Facility Agent shall reasonably require of the Owner’s as to that ▇▇▇▇▇▇▇▇'s, any such Approved Manager's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Lender by fax, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by itit which will, or is reasonably expected to, last more than 14 days; (f) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, the Approved Manager or either Bareboat Charterer (as the case may be) or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the that Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of that Borrower's, the Owner’s Approved Manager's, the relevant Bareboat Charterer's or any other person’s 's response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Security Trustee by faxfax or Email, confirmed forthwith by letter, of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it condition made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its terms; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien Security Interest on that Ship or its the Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any material Environmental Claim made against that Owner Borrower or in connection with the Ship owned by it, or any material Environmental Incident in an amount exceeding $1,000,000Incident; (g) any legal or administrative action taken by any Sanctions Authority against or affecting any Security Party or any Ship; (h) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days may result in the withdrawal of the making Safety Management Certificate, the Document of any such claimCompliance or the ISSC applicable to that Ship, the relevant Borrower or, as the case may be, the Approved Manager; or (hi) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, ; and the Borrower shall procure that each Owner ▇▇▇▇▇▇▇▇ shall keep the Agent Security Trustee advised in writing on a regular basis and in such detail as the Agent Security Trustee shall reasonably require of that Borrower’s, the OwnerApproved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Lender by fax, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not immediately complied with in accordance with its termswith; (d) any arrest or detention of the Ship owned by itShip, any exercise or purported exercise of any lien on that the Ship or its Earnings or any requisition of that the Ship for hire; (e) any intended dry docking of the Ship owned by itShip; (f) any Environmental Claim made against that Owner the Borrower or in connection with the Ship owned by itShip, or any Environmental Incident in an amount exceeding $1,000,000Incident; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner the Borrower, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimShip; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, ; (i) and the Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of the OwnerBorrower’s, the Approved Manager’s or any other person’s response to any of those events or matters.

Notification of Certain Events. The Each Borrower shall procure that each Owner shall, upon becoming aware of the same, immediately notify the Agent Lender by faxfax or electronic mail, confirmed forthwith forthwith, by letter, letter of: (a) any casualty relating to the Ship owned by it which is or is likely to be or to become a Major Casualty; (b) any occurrence as a result of which the Ship owned by it has become or is, by the passing of time or otherwise, likely to become a Total Loss; (c) any requirement or recommendation in relation to the Ship owned by it made by any insurer or classification society or by any competent authority which is not complied with in accordance with its termswithin the timeframe specified by such insurer or classification society; (d) any arrest or detention of the Ship owned by it, any exercise or purported exercise of any lien on that Ship or its Earnings or any requisition of that Ship for hire; (e) any intended dry docking of the Ship owned by it; (f) any Environmental Claim made against that Owner Borrower or in connection with the Ship owned by it, or any Environmental Incident in an amount exceeding $1,000,000connection with that Ship; (g) any claim for breach of the ISM Code or the ISPS Code being made against that Owner Borrower, the Approved Manager or otherwise in connection with the Ship owned by it and which is not remedied or resolved within 14 days of the making of any such claimit; or (h) any other matter, event or incident, actual or threatened, the effect of which will, if not remedied within a period of 14 days, will or could lead to the ISM Code or the ISPS Code not being complied with, and the that Borrower shall procure that each Owner shall keep the Agent Lender advised in writing on a regular basis and in such detail as the Agent Lender shall reasonably require of that Borrower’s, the OwnerApproved Manager’s or any other person’s response to any of those events or matters.
