Notification of New Sub-processors. Pantheon may engage a new Sub-Processor only upon giving Customer prior written notice of the appointment of the new Sub-Processor including details of the Processing to be undertaken by the Sub-Processor, and provide Customer a reasonable opportunity to object to the appointment of the new Sub-Processor.

3.2.1 If Company reasonably objects to an engagement in accordance with Section 3.2, Sawgrass shall provide Company with a written description of commercially reasonable alternative(s), if any, to such engagement, including without limitation modification to the Services. If Sawgrass, in its sole discretion, cannot provide any such alternative(s), or if Company does not agree to any such alternative(s) if provided, then Company may terminate the applicable Order Form(s) with respect to those Services which cannot be provided by Sawgrass without use of the objected-to new Sub-Processors, by providing written notice to Sawgrass. Termination shall not relieve Company of any fees owed to Sawgrass under the Agreement.
3.2.2 If Company does not object to the engagement of a third party in accordance with Section 3.2 within ten (10) days of notice by Sawgrass, that third party will be deemed an Authorized Sub-Processors for the purposes of this Addendum.
Notification of New Sub-processors. Xactly’s current list of Sub-processors for the applicable Services is available at ▇▇▇▇▇://▇▇▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/privacy-policy/ (“Sub-processor List”). Customer may subscribe to updates to the relevant Sub-processor List and shall provide such updates at least thirty (30) days prior to authorizing any new Sub- processor(s) to Process Personal Data in connection with the provision of the Services.

Client shall send an email to ▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇.▇▇▇ with the subject SUBSCRIPTION TO SUB-PROCESSORS NOTIFICATION, to subscribe to notifications of new Sub-processors, and if Client subscribes, Company Name shall provide notification of any new Sub-processor(s) before authorizing such new Sub-processor(s) to Process Personal Data in connection with the provision of the Services.
