Common use of Notification to Noteholders and Certificateholders Clause in Contracts

Notification to Noteholders and Certificateholders. Upon the occurrence of any Event of Servicing Termination of which a Responsible Officer of the Indenture Trustee has actual knowledge or written notice (or any event that with the lapse of time would become an Event of Servicing Termination unless cured), the Indenture Trustee shall promptly notify the Owner Trustee in writing. Upon any termination or appointment of a successor to the Servicer pursuant to this Article VI or Section 3.04, the Indenture Trustee shall give prompt written notice thereof to the Noteholders, Certificateholders (at their respective addresses appearing in the Note Register and in the Certificate Register) and each Rating Agency.
