Common use of Notwithstanding Clause Clause in Contracts

Notwithstanding Clause. 13.3.1 above, Adobe may terminate this Agreement immediately, upon written notice to Reseller: (a) for ▇▇▇▇▇▇▇▇’s breach of: (1) Clause 3 (License Restrictions); (2) Clause 6.6 (Reseller’s Representations and Warranties); (3) Clause 6.7 (Ethical Conduct and Compliance); (4) Clause 8 (Ownership of Intellectual Property Rights); (5) Clause 9 (Confidentiality); (6) Clause 14.2 (Assignment); (b) upon being advised by Reseller that ▇▇▇▇▇▇▇▇ has become aware of information that would alter any warranty or representation made by Reseller pursuant to Clause 6.6 (Reseller’s Representations and Warranties); or (c) upon occurrence of a Breach under Clause 6.5 (Data Protection and Privacy).
