Number of Registrations. The Company shall not be obligated to effect, or to take any action to effect, any registration pursuant to this Section 1.2 after the Company has effected two (2) registrations pursuant to this Section 1.2 and such registrations have been declared or ordered effective. For the purposes of this Section 1.2, a proposed registration that is withdrawn due to a material adverse change in the Company's business or financial condition shall not count as a registration.
