Common use of Number of Votes Clause in Contracts

Number of Votes. With respect to all meetings of stockholders of Pubco at which holders of shares of Pubco Common Stock are entitled to vote (a "Pubco Meeting") and with respect to all written consents sought by Pubco from its stockholders including the holders of shares of Pubco Common Stock (a "Pubco Consent"), each Holder shall be entitled to cast and exercise, in the manner instructed, a number of votes equal to the Equivalent Vote Amount for each Exchangeable Share owned of record by such Holder on the record date established by Pubco or by applicable law for such Pubco Meeting or Pubco Consent, as the case may be (the "Stockholder Votes") in respect of each matter, question or proposition to be voted on at such Pubco Meeting or to be consented to in connection with such Pubco Consent.

Number of Votes.
