Object of Purchase. 4.1. The scope, type and quality of the Products/Services are determined by the contents of the order confirmation or invoice. Any other specifications or requirements will only become an integral part of the contract if the parties agree this in writing or if the Company has confirmed this in writing. Any requests for additions and changes made subsequent to conclusion of the contract shall be remunerated separately in accordance with the specified conditions; these present GTC shall also apply to such requests for additions and changes.
Object of Purchase. 1.1 The Seller at 1 holds a capital interest (limited partner’s contributions I and II) of € 120 million (in words: onehundredandtwentymillion Euro) in AMD Fab 36, registered under HRA 5255 in the Commercial Register kept at the Amtsgericht Dresden.
1.2 The limited partner’s interest of the Seller at 1 is fully paid in and – on-balance sheet – not reduced by any losses or withdrawals. The interest is not encumbered with any third party rights and the Seller at 1 may freely dispose of such interest.
1.3 The Seller at 2 holds a capital interest (limited partner’s contributions I and II) of € 60 million (in words: sixtymillion Euro) in AMD Fab 36, registered under HRA 5255 in the Commercial Register kept at the Amtsgericht Dresden.
1.4 The limited partner’s interest of the Seller at 2 is fully paid in and – on-balance sheet – not reduced by any losses or withdrawals. The interest is not encumbered with any third party rights and the Seller at 2 may freely dispose of such interest.
Object of Purchase. According to sub-clause 2.1 of the 09/2000 Agreement, Artificial Life developed certain software or had it developed under subcontract for the "[ ]" Project and is the sole owner of this software (hereinafter: "ALife [ ] Software"). 1.3 The Object of Purchase is encumbered as follows in Section III: • consec. no. 1: uncertificated land charge of four million eight hundred eighty-seven and seven hundred sixty-five euros for The Governor and Company of the Bank of Scotland The Mound, Edinburgh, Scotland.
1.4 The notary public inspected the electronic land register of the above property on today’s date. The notary public instructed the Buyer on the risk of potential interim dispositions by the Seller or third parties. The Seller ensured that the above status of the land register remains unchanged and that to its knowledge no applications for registration with respect to the Object of Purchase have been submitted to the Land Registry. The Buyer insisted on immediate notarial recording.
Object of Purchase. The Seller is the sole owner of E-Net Hungary Telecommunications and Multimedia having its registered office at 1016 Budapest, Naphegy ter 8. and registered by the Municipal Court of Budapest, as Court of Registration at registration number 01-09565274. The stock capital of the Company is 1,000,000 HUF, (in words one million Hungarian forints), which has been paid up in total for the Company.
Object of Purchase. 1.1. Seller shall have purchased and acquired 97% of their quotas of Agro Ivica Dumandzic S.R.L. (the “Company”). Seller owns the total capital stock of the Company (the “Quotas”). The remaining 3% of the quotas of the Company are possessed by , in order to comply with the mandatory re- quirement under Argentine law of having a minimum of two partners in a lim- ited liability company (Sociedad de Responsabilidad Limitada).
1.2. At the Closing Date (as defined below) Seller covenants and agrees to trans- fer to Buyer 100% of the quotas of the Company owned by Seller, without en- cumbrances, and free from any and all third party rights, including any right to dividends, preemptive rights or to subscribe additional capital or capital increases, or any other rights related to such quotas, on the Closing Date (as defined below) in accordance with the following conditions. The “Closing Date” for purposes of this Agreement shall be the later of (i) the date that is five Business Days after the date Seller receives notification of the acceptance of the Offer to Sell and Purchase the Quotas by Buyer or (ii) the date that is one Business Day after the Buyer’s receipt of approval for the admission of the Consideration Shares (as defined be- low) to trading on the Stock Exchange (as defined below) from the Stock Ex- change as required by the rules and policies of the Stock Exchange.
