Common use of Obligation Not to Use Clause in Contracts

Obligation Not to Use. Each Shareholder agrees that it shall not use any Confidential Information obtained from the other Shareholder or from the Company for any purpose whatsoever except in a manner expressly provided for in this Agreement; provided, however, that in the event this Agreement is terminated for any reason other than breach by a Shareholder, the Shareholders may freely use Confidential Information relating to or of the Company but not of either Shareholder; provided, further, however, that in the event this Agreement is terminated for breach by either Shareholder, only the non-breaching Shareholder shall be entitled to use Confidential Information relating to or of the Company but not of either Shareholder.
