Common use of Obligation to Notify Clause in Contracts

Obligation to Notify. Each Party shall promptly notify the other Party upon becoming aware of any breach or violation by it, its Affiliates or any of their respective Representatives of this Section 5 or the Anti-Corruption Laws and shall take such steps as the parties may reasonably agree to avoid a potential violation of the Anti-Corruption Laws or a breach of this Section 5.

Obligation to Notify. Each Party shall promptly notify the other Party upon becoming aware of any breach or violation by it, its Affiliates such Party (including through any Representative of such Party or any Third Party engaged by such Party) of their respective Representatives of this Section 5 Sections 6.4 and 6.5 or the Anti-Corruption Laws and such Party shall take such steps as the parties Parties may reasonably agree to avoid a potential or continuing violation of the Anti-Corruption Laws or a breach of this Section 5Sections 6.4 or 6.5.

Obligation to Notify. Each Party shall promptly notify the other Party upon becoming aware of any potential breach or potential violation by it, its Affiliates the Field Force or any by such Party’s other employees of their respective Representatives of this Section 5 or the Anti-Corruption Laws in the performance of such Party’s obligations under this Agreement and shall take such steps as the parties Parties may reasonably agree to avoid a potential violation of the Anti-Corruption Laws or a breach in the performance of obligations under this Section 5Agreement.

Obligation to Notify. Each Party shall promptly notify the other Party upon becoming aware of any breach or violation by it, its Affiliates the Sales Force or any by the other Party’s employees with obligations under this Agreement with respect to the Territory of their respective Representatives of this Section 5 or the Anti-Corruption Laws and Eversana shall take such steps as the parties Parties may reasonably agree with respect to avoid a mitigation of any violation or potential violation of the Anti-Corruption Laws or a breach of this Section 5by Eversana.
