Obtaining Approvals. Seller shall use its commercially reasonable efforts to obtain (and to cooperate with Purchaser in obtaining) any (i) consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof required to be obtained or made by Seller in connection with the transactions contemplated by this Agreement, and (ii) consent to, and authorization or approval of any other person or entity to or required as a result of, consummation of the transactions contemplated hereby.
