Common use of OF MEMBERS Clause in Contracts

OF MEMBERS. In order to determine entitlement of the Shareholders to attend and vote at the EGM (or at any adjournment thereof), the Company’s register of members will be closed from Wednesday, 4 April 2018 to Tuesday, 10 April 2018 (both days inclusive) during which period no transfer of Shares will be effected. In order to be eligible to attend and vote at the EGM, all transfers accompanied by the relevant share certificates must be lodged with the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at Level ▇▇, ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇▇’▇ ▇▇▇▇ ▇▇▇▇, ▇▇▇▇ ▇▇▇▇, for registration no later than 4: 30 p.m. on Tuesday, 3 April 2018. Completion of the Proposed Acquisition, the entering into of the 2018 Master Facility Services Agreements and the proposed Change of Company Name are subject to the fulfilment (or, as the case may be, waiver) of certain conditions precedent. As the Proposed Acquisition, the 2018 Master Facility Services Agreements and the proposed Change of Company Name may or may not proceed, Shareholders and potential investors of the Company are advised to exercise caution when dealing in the Shares.
