Common use of Offer to Purchase Upon a Change in Control Clause in Contracts

Offer to Purchase Upon a Change in Control. Company shall (1) prior to or concurrently with the occurrence of a Change in Control, make an offer to all Lenders to prepay all Loans pursuant to a Change in Control Offer at a purchase price in cash equal to 101% of the principal amount thereof, plus any accrued and unpaid interest to the Change in Control Payment Date, and (2) on the Change in Control Payment Date, prepay all the Loans of all Lenders properly accepting such offer of prepayment in accordance with such Change in Control Offer at a purchase price in cash equal to 101% of the principal amount thereof, plus any accrued and unpaid interest to the Change in Control Payment Date.
