Common use of Offering Services Clause in Contracts

Offering Services. The Adviser shall manage and supervise: (i) Development of the Initial Public Offering and any subsequent or simultaneous Offering approved by the Board, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) Coordination of the due diligence process relating to participating broker-dealers or other financial intermediaries and their review of any registration statement and other Offering and Company documents; (iii) Preparation and approval of marketing materials contemplated to be used by the Dealer Manager or others relating to any Offering; (iv) Along with the Dealer Manager, negotiation and coordination with the transfer agent of the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions; (v) All other services related to any Offering, other than services that (a) relate to the underwriting, distribution or sale of securities of the Company in any Offering, (b) are to be performed by the Dealer Manager, (c) the Company elects to perform directly or (d) would require the Adviser to register as a broker-dealer with the SEC, FINRA or any state.
