Common use of Offline Transactions Clause in Contracts

Offline Transactions. Where the System is unable to process Transactions due to technical malfunction at the central processors or failure of the telecommunications links, the Merchant may: (a) use automated procedures, such as EOV, within the Terminal to accept and store Transactions for subsequent dispatch to Worldline; or (b) complete a sales voucher or credit voucher supplied by the Card Issuer or Bank for any Transactions made using a Credit Card, Charge Card or Debit Card bearing a point-of- sale acceptance mark of an international card scheme, provided that, where there is a technical problem affecting the System which prevents the Terminal from sending the Transaction to the Card Issuer for online authorisation and the Merchant is entitled to use the automated procedures within the Terminal, the Merchant is not entitled to process the Transaction using a sales voucher or credit voucher.
