Common use of Offset of Purchase Price Clause in Contracts

Offset of Purchase Price. The Company (or any purchasing Members) may offset the purchase price of an Affected Interest by the amounts of any debts or damages described in this Agreement, and such offset may be used first to reduce amounts due at closing under Section 17.5.3 below, and then the first payments due on any promissory note delivered under Section 17.5.4 below.
