Common use of Ongoing Development Clause in Contracts

Ongoing Development. The Parties acknowledge and agree that additional Development will be required to obtain Regulatory Approvals for the Licensed Products in the Territory. Forest shall have the sole and exclusive right, at its sole cost and expense, to Develop (or have Developed) the Licensed Products in the Territory, consistent with the Development Plan, where applicable, and under the oversight of the JDC. ▇▇▇▇▇▇▇ shall not, directly or indirectly, whether alone or together with a Third Party, Develop any Licensed Product for any purpose in the Territory other than to support commercialization of a Returned Licensed Product in any Terminated Territory. For the avoidance of doubt, (a) Forest may Develop (or have Developed) the Licensed Products in the Territory outside of the Development Plan in countries that are not addressed in the Development Plan, and (b) ▇▇▇▇▇▇▇ shall bear, and shall not be entitled to reimbursement for, any costs and expenses incurred by ▇▇▇▇▇▇▇ prior to the Effective Date or, except as otherwise expressly provided in this Agreement, any costs or expenses incurred by ▇▇▇▇▇▇▇ in performing its obligations under this Agreement.
