Common use of Open Source License Restrictions Clause in Contracts

Open Source License Restrictions. Some third party software licenses require, as a condition of use, modification and/or distribution that the software or some other software combined and/or distributed with it be: a. Disclosed or distributed in source code form; b. Licensed for the purpose of making derivative works; or c. Redistributable at no charge (collectively, “Open Source License Terms”). Each party warrants that it will not provide to the other party any computer code (or any intellectual property associated therewith) under this Agreement or otherwise in connection with the MPN that includes any license, right, power or authority to incorporate, modify, combine or distribute that computer code with any other computer code in a manner that would subject the other’s computer code to Open Source License Terms.
