Operating Expenses; Fees. (a) The Fund shall pay amounts due to be paid by it hereunder (including any incidental expenses but not including redemption or dividend payments on the VMTP Shares) as operating expenses. (b) The Fund shall pay to the Purchaser a structuring fee in the amount of $45,000.00 in connection with (i) the structuring of the transactions contemplated by this Agreement and (ii) the initial organization and set up of a voting trust to be formed with respect to the VMTP Shares (the "Voting Trust"). (c) The Fund will pay the structuring fee described in Section 2.2(b) on the Effective Date.
