Operating Qualification. The Target Company and its Affiliated Companies currently own all such qualifications and credentials as necessary to engage in the Main Business, and all of the business operation certificates now in their possession are legally obtained and owned by the Target Company and its Affiliated Companies, currently remain in force and effect, and there are no circumstances that affect the validity of the such certificates. And, there is no event that will cause the regulatory authority or government authority issuing the above qualification certificates to rescind, revoke or recover such certificates or declare the same to be void.

The administrator of the NPS holds or is in the process of obtaining one of the following: (A) An administrative credential granted by an accredited postsecondary educational institution and two years of experience with pupils with disabilities.
