Operation and Maintenance Plan. Seller shall devise and implement a plan of inspection, maintenance, and repair for the Facility and the components thereof in order to maintain such equipment in accordance with Prudent Utility Practices, and shall keep records with respect to inspections, maintenance, and repairs thereto. The aforementioned plan and all records of such activities shall be available for inspection by Buyer during Seller’s regular business hours upon reasonable notice.
Operation and Maintenance Plan. If recommended by any environmental report furnished to the Agent and if required by applicable Environmental Law with respect to any individual parcel of Real Estate, the Obligors shall establish and comply with an operations and maintenance program with respect to such individual parcel of Real Estate, in form and substance reasonably acceptable to Agent, prepared by an environmental consultant reasonably acceptable to Agent. Without limiting the generality of the preceding sentence, Agent may require (a) periodic notices or reports regarding matters addressed by the operation and maintenance program to Agent in form, substance and at such intervals as Agent may reasonably require, (b) and amendment to such operations and maintenance program reasonably required to address changing circumstances or applicable laws, (c) access to such parcel of Real Estate, subject to Section 10.1.1, to review and assess the environmental condition of such parcel and Obligors’ compliance with such operations and maintenance program, and (d) variation of the operations and maintenance program reasonably required in response to the reports provided by any such consultants, as required by applicable Environmental Law.
Operation and Maintenance Plan. Owner/Association shall operate, maintain, repair, and, if necessary, reconstruct the Facility in accordance with approved as-built plans, North Carolina Department of Environmental Quality’s Stormwater Design Manual, City of Monroe Standard Specifications and Detail Manual, and City of Monroe Stormwater Management Ordinance. Operation and Maintenance Plan. 10.1 The Service Provider shall prepare and submit within one hundred and twenty (120) days of the [Commencement Date / Services Commencement Date]38 an annual operation and maintenance plan for the Facilities which shall comply with the Service Standards and Prudent Industry Practice (the “Operation and Maintenance Plan” or “O&M Plan”) with sufficient detail of all critical and routine operating tasks with the objective of achieving and maintaining the technical specifications set out in Schedule 2 and the Performance Indicators. 10.2 The O&M Plan shall comprise the operating and maintenance strategy for improving the operating efficiency, methodology, organization structure, human resource plan, equipment deployment plan, environmental management measures, responsibilities for unit operations, monitoring and emergency response, related processes, systems, protocols, procedures including detailed costs for each activity of operations and maintenance etc. 10.3 Within thirty (30) days of receipt of the Operation and Maintenance Plan, the Contracting Authority shall send to the Service Provider its comments on the Operation and Maintenance Plan. If the Contracting Authority fails to provide their comments as aforesaid, the Operation and Maintenance Plan shall be deemed to be approved. 10.4 If the Contracting Authority raises any objections in respect of the Operation and Maintenance Plan, the Service Provider shall issue a revised version incorporating such amendments and/or comments, or notify the Contracting Authority within ten (10) days of receipt of the Contracting Authority’s comments that it disagrees with such amendments and/or comments, together with a reasonably detailed explanation for such disagreement. 10.5 The approval (or deemed approval) by the Contracting Authority of the Operation and Maintenance Manual shall not relieve the Service Provider of any duty, obligation or liability under this Agreement, and the Contracting Authority shall not be liable to the Service Provider as a result of such approval. In the event of a failure by the Parties to agree on the appropriate amendments to the Operation and Maintenance Plan, any Party may refer the Dispute for determination by the Technical Expert in accordance with Clause 26.2 (Mediation). Operation and Maintenance Plan. The RECIPIENT shall develop an Operation and Maintenance Plan (O & M Plan) for the BMPs implemented under Item 1 of this Agreement to ensure their long-term viability (at least ten years). The O & M Plan shall identify regular inspection needs and appropriate management activities such as sediment and debris removal, replacement of vegetation and hardware, chemical treatment, etc. The O & M Plan shall identify coordinating (i.e.,farmers ) parties to carry out inspection and management needs and the financial resources necessary for implementation of the O & M Plan. A draft of the O & M Plan shall be completed and submitted by the RECIPIENT to the SMC by March 17, 2016 for review and approval by SMC and the Illinois EPA. The final O & M Plan shall be completed and submitted by the RECIPIENT to the SMC by May 31, 2016 for submission to Illinois EPA. The O & M Plan begins upon completion of the PROJECT and is effective thru June 30, 2027.
