Common use of Operation and Maintenance Clause in Contracts

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

[For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site but not forming part of the Bus Terminal.

The obligations of the Concessionaire hereunder shall include: (a) permitting ensuring safe, smooth hygienic and uninterrupted flow efficient Hospitality Services and maintaining a high standard of traffic on cleanliness and hygiene in the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority onlyResort; (b) minimising incidents affecting the safety undertaking operation and use maintenance of the Bus Terminal by providing a rapid Resort in an efficient, coordinated and effective response economical manner, in compliance with the Specification and maintaining liaison with emergency services of the StateStandards; (c) undertaking operation and maintenance of the Project Infrastructure in accordance with the Specification and Standards, operation and maintenance manual provided by the OEMs and the terms of this Agreement to ensure that the Concessionaire is able to optimally use the Project Infrastructure during the Operation Period such that the Project is self-sustained; (d) carrying out periodic preventive maintenance of the Bus TerminalResort and Project Infrastructure; (de) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Resort and Project Infrastructure so as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per to ensure compliance with the Maintenance Schedule of Requirements and the major infrastructure in the Bus TerminalSpecification and Standards; (f) preventingundertaking major maintenance, replacement of components and parts, repairs to structures, and repairs and development of associated facilities, including the Project Infrastructure; (g) providing round the clock security at the Project Site and preventing with the assistance of the concerned law enforcement agencies, any encroachments on or authorised entry on the Bus TerminalProject Site; (gh) protection of the environment and provision of equipment and materials therefortherefor in accordance with the Applicable Laws, Applicable Permits, terms of this Agreement and Good Industry Practice; (hi) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalResort and Project Infrastructure and for providing Hospitality Services in conformity with the Good Industry Practice; (ij) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agenciesGovernment Instrumentality, media and other agencies; (jk) complying with the Safety Requirements in accordance with Article 18;Requirements; and (kl) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Applicable Laws, Applicable Permits, Good Industry Practice; (l) maintaining punctuality Practice and reliability in operating the Bus Terminal; and (m) maintaining a high standard provisions of cleanliness and hygiene in the Bus Terminalthis Agreement. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project Site all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Resort and Project Infrastructure in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits, Good Industry Practice and the provisions of this Agreement. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice and Applicable Laws and Applicable Permits, all stretches of approach roads, or other structures situated on the Project Site. 17.1.4 If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to and independent of the Damages payable under this Agreement. In the event the Authority is required to pay any penalty to the Government Instrumentality under any Applicable Laws then the Authority shall be entitled to be indemnified by the Concessionaire under Article 37.

The obligations of the Concessionaire hereunder shall include: (a) permitting ensuring safe, smooth hygienic and uninterrupted flow efficient Hospitality Services and maintaining a high standard of traffic on cleanliness and hygiene in the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only;Hotel. (b) minimising incidents affecting the safety undertaking operation and use maintenance of the Bus Terminal by providing a rapid Project Facilities in an efficient, coordinated and effective response economical manner, in compliance with the Specification and maintaining liaison with emergency services of the StateStandards; (c) undertaking operation and maintenance of the Project Infrastructure in accordance with the Specification and Standards, operation and maintenance manual provided by the original equipment Manufacturers (OEMs) and the terms of this Agreement to ensure that the Concessionaire is able to optimally use the Project Infrastructure during the Operation Period such that the Project is self-sustained. The obligations of the Concessionaire Licensee hereunder shall include: (a) : permitting safe, smooth and uninterrupted flow use of traffic on the Bus Terminal Project Facilities during normal operating conditions. Buses ; collecting and appropriating the revenues; minimizing disruption in the event of accidents or other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents incidents-affecting the safety and use of the Bus Terminal Project Facilities by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) ; carrying out periodic preventive maintenance of the Bus Terminal; (d) Project; undertaking routine maintenance including prompt repairs of ticket counterscracks, Workshopsjoints, Authority's Office drains, markings, lighting, signs and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) control devices; undertaking major maintenance such as per repairs to structures, and refurbishment of parking system and other equipment; preventing, with the Maintenance Schedule assistance of concerned law enforcement agencies, any unauthorized use of the major infrastructure in the Bus Terminal; (f) Project; preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) Project Site; protection of the environment and provision of equipment and materials therefor; (h) ; operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) Project; complying with Safety Requirements in accordance with Article 1819; make all necessary payments in time bound manner to the Licensor such as Annual License Fee or any other payment to comply with the provisions of this Agreement; make all necessary/ applicable and time bound utilities payments and taxes to all Central and State Government utilities; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 18.1.2 The Concessionaire Licensee shall remove promptly from the Bus Terminal Project Site all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other rubbish, debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and

Operation and Maintenance. 17.1 O&M obligations 5.1.1 National Grid shall own, operate, maintain and repair (repair includes, but is not limited to, replacement of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements existing equipment when required due to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (afailure) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and National Grid Interconnection Facilities in accordance with Good Industry Utility Practice; (l) . Under this Agreement, Solvay will reimburse National Grid for the actual costs associated with owning, operating, maintaining punctuality and reliability repairing the National Grid Interconnection Facilities in operating accordance with Good Utility Practice. National Grid shall notify Solvay of the Bus Terminal; schedule for scheduled outages of National Grid Interconnection Facilities and transmission facilities in accordance with Good Utility Practice and National Grid standard practices and (m) maintaining a high standard , upon making any changes to such schedules thereafter, shall promptly notify Solvay of cleanliness and hygiene in the Bus Terminalany such changes. 17.1.2 The Concessionaire 5.1.2 Solvay, at its own expense, shall remove operate, maintain and repair (repair includes, but is not limited to, replacement of existing equipment when required due to failure) the Solvay Substations and Solvay Interconnection Facilities in accordance with Good Utility Practice and this Agreement. Solvay shall notify National Grid of the schedule for scheduled outages of the Solvay Substations in accordance with Good Utility Practice and National Grid standard practices and, upon making any changes to such schedules thereafter, shall promptly from notify National Grid of any such changes. 5.1.3 In furtherance of the Bus Terminal all surplus construction machinery Parties' mutual objective to preserve and materialsmaintain the reliability of the Transmission System, waste materials (including hazardous materials the Solvay System and waste water)the Solvay Substations, rubbish the Parties agree to coordinate the planning and other debris (including, without limitation, accident debris) scheduling of any outages and keep the Bus Terminal any changes thereto in a cleanmanner that will preserve and maintain the reliability of, tidy and orderly condition,minimize the effect on, the National Grid Transmission System and the Solvay System consistent with Good Utility Practice, ▇▇▇▇▇▇▇▇ ▇▇. ▇▇▇, ▇▇▇▇▇ practices and National Grid standard practices. 5.1.4 In furtherance of the Parties' mutual objective to preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations, the Parties agree to coordinate the planning and scheduling of preventative and corrective maintenance in a manner that will preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations. The Parties shall conduct preventative maintenance and corrective maintenance activities as scheduled and planned, or as they become necessary, consistent with Good Utility Practice. 5.1.5 If Solvay requests that National Grid perform maintenance during a time period other than as scheduled by National Grid, National Grid will use Commercially Reasonable Efforts to meet Solvay's request as long as meeting the request would not reasonably be expected, as determined by National Grid, to have an adverse impact upon National Grid's operations or the operations of National Grid's customers. Notwithstanding the foregoing, should Solvay request to perform maintenance that National Grid in good faith determines may have an adverse impact on National Grid's operations or the operations of National Grid's customers, and if such maintenance may be delayed until after such period, National Grid may reject Solvay's scheduling request. Solvay shall reimburse National Grid for all actual costs incurred by National Grid related to satisfying Solvay's request.

The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic passengers on the Bus Terminal XXX Ropeway during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal XXX Ropeway by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance ScheduleXXX Ropeway; (e) undertaking major routine maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus TerminalXXX Ropeway; (f) undertaking major maintenance of the XXX Ropeway; (g) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the XXX Ropeway; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalXXX Ropeway; (gi) protection of the environment and provision of equipment and materials therefortherefore; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalXXX Ropeway; (ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (jl) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove remove, promptly from the Bus Terminal Project Site, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project Site in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

Operation and Maintenance. 17.1 17.1. O&M obligations of the Concessionaire 17.1.1 17.1.1. During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Storage Facility in accordance with this Agreement and in compliance with the performance standards given in Schedule G either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Storage Facility to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting a. ensuring safe, smooth hygienic and uninterrupted flow efficient storage of traffic on Food grains in the Bus Terminal Storage Facility, including prevention of loss or damage thereto, during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) b. minimising disruption to storage of Food Grains in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Storage Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) c. carrying out periodic preventive maintenance of the Bus TerminalStorage Facility; (d) d. procuring that the Availability of the Storage Capacity is not less than the Normative Availability e. undertaking routine operation and maintenance including prompt repairs of ticket countersthe Storage Facility in an efficient, Workshopscoordinated and economical manner, Authority's Office in compliance with the Standards and other infrastructure as mentioned Specifications, and procure Availability of the Storage Capacity to the Authority in accordance with the Operation provisions of this Agreement and Maintenance ScheduleApplicable Laws; (e) f. undertaking major maintenance such as per including Major Overhaul, replacement of components and parts, repairs to structures, and repairs and refurbishments of associated facilities and equipment; g. preventing, with the Maintenance Schedule assistance of concerned law enforcement agencies, any unauthorised use of the major infrastructure in the Bus TerminalStorage Facility; (f) h. preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalStorage Facility; (g) i. protection of the environment and provision of equipment and materials therefortherefore; (h) j. operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalStorage Facility; (i) k. maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (j) l. complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 17.1.2. The Concessionaire shall remove promptly from the Bus Terminal Storage Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Storage Facility in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3. The Concessionaire shall maintain, in conformity with Good Industry Practice, storage Silos, handling facilities, all stretches of approach roads or other structures situated on the Site. 17.1.4. If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of the Damages payable under this Agreement.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Rail System in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Rail System to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. Provided that notwithstanding anything to the contrary contained in this Agreement, Parties may mutually agree for MOR to undertake the maintenance of the Rail System at the cost of the Concessionaire to be calculated in accordance with provisions of Schedule-R. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal Rail System during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Rail System by providing a rapid and effective response and maintaining liaison with emergency services of the StateState and the Zonal Railway; (c) carrying out periodic preventive maintenance of the Bus TerminalRail System; (d) undertaking routine maintenance including prompt repairs of ticket counterstrack, Workshopsvia ducts, Authority's Office [tunnels, underpasses, skywalks], joints, drains, embankments, structures, signalling systems, communication systems, lighting and other infrastructure as mentioned in the Operation and Maintenance ScheduleTraction System; (e) undertaking major maintenance such as per the Maintenance Schedule track replacement, repairs to structures, repairs and refurbishment of the major infrastructure in the Bus Terminalsignalling and communication system, overhaul of Traction System and other equipment; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalRail System; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalRail System; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18;19; and (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;. (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in on the Bus TerminalRail System. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Rail System all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Rail System in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads, over-passes, under-passes or other structures situated on the Site but not forming part of the Rail System.

Operation and Maintenance. 17.1 O&M obligations 5.1.1 National Grid shall own, operate, maintain and repair (repair includes, but is not limited to, replacement of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements existing equipment when required due to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (afailure) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and National Grid Interconnection Facilities in accordance with Good Industry Utility Practice; (l) . Under this Agreement, Solvay will reimburse National Grid for the actual costs associated with owning, operating, maintaining punctuality and reliability repairing the National Grid Interconnection Facilities in operating accordance with Good Utility Practice. National Grid shall notify Solvay of the Bus Terminal; schedule for scheduled outages of National Grid Interconnection Facilities and transmission facilities in accordance with Good Utility Practice and National Grid standard practices and (m) maintaining a high standard , upon making any changes to such schedules thereafter, shall promptly notify Solvay of cleanliness and hygiene in the Bus Terminalany such changes. 17.1.2 The Concessionaire 5.1.2 Solvay, at its own expense, shall remove operate, maintain and repair (repair includes, but is not limited to, replacement of existing equipment when required due to failure) the Solvay Substations and Solvay Interconnection Facilities in accordance with Good Utility Practice and this Agreement. Solvay shall notify National Grid of the schedule for scheduled outages of the Solvay Substations in accordance with Good Utility Practice and National Grid standard practices and, upon making any changes to such schedules thereafter, shall promptly from notify National Grid of any such changes. 5.1.3 In furtherance of the Bus Terminal all surplus construction machinery Parties' mutual objective to preserve and materialsmaintain the reliability of the Transmission System, waste materials (including hazardous materials the Solvay System and waste water)the Solvay Substations, rubbish the Parties agree to coordinate the planning and other debris (including, without limitation, accident debris) scheduling of any outages and keep the Bus Terminal any changes thereto in a cleanmanner that will preserve and maintain the reliability of, tidy and orderly condition,minimize the effect on, the National Grid Transmission System and the Solvay System consistent with Good Utility Practice, Bulletin No. 752, NYISO practices and National Grid standard practices. 5.1.4 In furtherance of the Parties' mutual objective to preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations, the Parties agree to coordinate the planning and scheduling of preventative and corrective maintenance in a manner that will preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations. The Parties shall conduct preventative maintenance and corrective maintenance activities as scheduled and planned, or as they become necessary, consistent with Good Utility Practice. 5.1.5 If Solvay requests that National Grid perform maintenance during a time period other than as scheduled by National Grid, National Grid will use Commercially Reasonable Efforts to meet Solvay's request as long as meeting the request would not reasonably be expected, as determined by National Grid, to have an adverse impact upon National Grid's operations or the operations of National Grid's customers. Notwithstanding the foregoing, should Solvay request to perform maintenance that National Grid in good faith determines may have an adverse impact on National Grid's operations or the operations of National Grid's customers, and if such maintenance may be delayed until after such period, National Grid may reject Solvay's scheduling request. Solvay shall reimburse National Grid for all actual costs incurred by National Grid related to satisfying Solvay's request.

Operation and Maintenance. ‌ 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Resort and the Project Infrastructure in accordance with this Agreement either by itself, or and/or through the an O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Resort and the Project Infrastructure to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting ensuring safe, smooth hygienic and uninterrupted flow efficient Hospitality Services and maintaining a high standard of traffic on cleanliness and hygiene in the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority onlyResort; (b) minimising incidents affecting the safety undertaking operation and use maintenance of the Bus Terminal by providing a rapid Resort in an efficient, coordinated and effective response economical manner, in compliance with the Specification and maintaining liaison with emergency services of the StateStandards; (c) undertaking operation and maintenance of the Project Infrastructure in accordance with the Specification and Standards, operation and maintenance manual provided by the OEMs and the terms of this Agreement to ensure that the Concessionaire is able to optimally use the Project Infrastructure during the Operation Period such that the Project is self-sustained; (d) carrying out periodic preventive maintenance of the Bus TerminalResort and Project Infrastructure; (de) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Resort and Project Infrastructure so as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per to ensure compliance with the Maintenance Schedule of Requirements and the major infrastructure in the Bus TerminalSpecification and Standards; (f) preventingundertaking major maintenance, replacement of components and parts, repairs to structures, and repairs and development of associated facilities, including the Project Infrastructure; (g) providing round the clock security at the Project Site and preventing with the assistance of the concerned law enforcement agencies, any encroachments on or authorised entry on the Bus TerminalProject Site; (gh) protection of the environment and provision of equipment and materials therefortherefor in accordance with the Applicable Laws, Applicable Permits, terms of this Agreement and Good Industry Practice; (hi) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalResort and Project Infrastructure and for providing Hospitality Services in conformity with the Good Industry Practice; (ij) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agenciesGovernment Instrumentality, media and other agencies; (jk) complying with the Safety Requirements in accordance with Article 18;Requirements; and (kl) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Applicable Laws, Applicable Permits, Good Industry Practice; (l) maintaining punctuality Practice and reliability in operating the Bus Terminal; and (m) maintaining a high standard provisions of cleanliness and hygiene in the Bus Terminalthis Agreement. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project Site all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Resort and Project Infrastructure in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits, Good Industry Practice and the provisions of this Agreement. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice and Applicable Laws and Applicable Permits, all stretches of approach roads, or other structures situated on the Project Site. 17.1.4 If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to and independent of the Damages payable under this Agreement. In the event the Authority is required to pay any penalty to the Government Instrumentality under any Applicable Laws then the Authority shall be entitled to be indemnified by the Concessionaire under Article 37.

Operation and Maintenance. 17.1 O&M 14.1. Operations and Maintenance (O & M) obligations of the Concessionaire 17.1.1 14.1.1. During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform confirm to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting a. procuring and ensuring safe, smooth and uninterrupted flow uninterpreted use of traffic on the Bus Terminal Project, including prevention of loss or damage thereto, during normal operating conditions. Buses ; b. uninterrupted power supply to ensure proper functioning of the Plant along with electrical and electronic equipment /appliances; c. providing security personnel for handling emergency situations; d. implementing a safety & security plan in consultation and in coordination with the Operations Committee/ Authority; e. carrying out required repairs and maintenance of all the civil, electrical, mechanical, hardware, systems, furniture, and any other state road transport corporations accessories at periodic intervals at its own cost; f. Replacement of spare parts shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such done as per the Maintenance Schedule OEM manual of the major infrastructure in the Bus Terminal;equipment / machinery. (f) g. preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; h. preventing, with the assistance of concerned law enforcement agencies, any encroachments on to the Bus TerminalProject; (g) protection of i. will have to remove any person employed on the environment and provision of equipment and materials therefor;work if so desired by the Authority for misconduct, misbehavior, or for such other reasons. (h) j. operation and maintenance of all communicationProject Facilities, control and administrative systems necessary for the efficient operation of the Bus TerminalProject and for providing safe, smooth and uninterrupted use of the Project; (i) maintaining a public relations unit k. to interface with maintain sufficient stock of the consumables required for smooth and attend to suggestions from the Users, passengers, government agencies, media and other agencies;efficient operations; and (j) complying l. comply with Safety Requirements in accordance with Article 1815; (k) 14.1.2. The Concessionaire shall in consultation with the Operations Committee / Authority evolve an operation and maintenance manual (the “O &M Manual”) for the regular work plan, the methodology for collection of all Project Assets diligently Wastewater/effluent and efficiently disposal of treated sludge and preventive maintenance of the Plant in accordance conformity with the provisions of this Agreement, Safety Requirements and Good Industry Practice; . The O & M Manual has to be submitted to the Operations Committee/ Authority not later than 90 (lninety) maintaining punctuality and reliability in operating days from signing of the Bus Terminal; and (m) maintaining Concession Agreement. It should show detailed operation procedures including a high standard list of cleanliness and hygiene in the Bus Terminaldo’s & don’ts. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

Operation and Maintenance. 17.1 11.1. O&M obligations of the ConcessionaireLicensee 17.1.1 11.1.1. During the Operation Period, the Concessionaire Licensee shall operate and maintain the Bus Terminal premises in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal premises to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire Licensee hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic visitors on the Bus Terminal premises during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs repairs; (c) undertaking routine maintenance of ticket countersequipment if any; (d) preventing, Workshopswith the assistance of concerned law enforcement agencies, Authority's Office and other infrastructure as mentioned in any unauthorised use of the Operation and Maintenance Schedulepremises; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminalpremises; (gf) protection of the environment and provision of equipment and materials therefortherefore; (hg) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalLicensed premises; (ih) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (ji) complying with Safety Requirements in accordance with Article 18;. (k) operation and maintenance 11.1.2. The usage of all Project Assets diligently and efficiently and property business space shall be in accordance with Good Industry Practice;the activities as listed in Annexure – 2 : List of Preferable Activities and Banned/Dis-allowed Activities 11.1.3. Licensee shall keep and maintain the Licensed Space in neat & clean, safe & sound condition by maintaining it properly at their own cost during the License Period. Licensee shall bear the cost of minor day-to-day repairs, annual refurbishing and routine special repairs required due to normal wear & tear with the efflux of time or due to planning/ constructional defects remained during augmentation of the Licensed Space. Any defective, weak or corroded structure should be replaced immediately with new proper structure after due certification from reputed agency. 11.1.4. Licensee shall ensure that all electrical wiring, power outlets and gadgets used are maintained properly, guarded against short circuits / fires. The instructions of ▇▇▇▇-Metro’s electrical inspectors/ authorized representative shall be complied by the licensee at its own cost. 11.1.5. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the safety issues during any emergency including operation of fire extinguisher. 11.1.6. In case of accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro property, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement. 11.1.7. The Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remain vested with Maha-Metro who shall have right to inspect the whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (lMetro) maintaining punctuality is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10. Licensee and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene its employees or other persons involved in the Bus Terminalexecution of the work shall not, in any way, impinge on the safety and security of metro operations, passenger safety, safety of metro properties and its assets. 17.1.2 11.1.11. The Concessionaire Licensee and their authorized representatives shall remove promptly from have free access to the Bus Terminal licensed spaces at all surplus construction machinery and materialsthe times. The necessary identity cards to such person(s) shall be issued by Maha-Metro in accordance with its extant policy. However, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,entry into paid area or travelling by Metro trains shall be as per general policy to Maha-Metro commuters.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Resort and Project Infrastructure in accordance with this Agreement either by itself, or and/or through the an O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting ensuring safe, smooth hygienic and uninterrupted flow efficient Hospitality Services and maintaining a high standard of traffic on cleanliness and hygiene in the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only;Resort. (b) minimising incidents affecting the safety undertaking operation and use maintenance of the Bus Terminal by providing a rapid Project Facilities in an efficient, coordinated and effective response economical manner, in compliance with the Specification and maintaining liaison with emergency services of the StateStandards; (c) undertaking operation and maintenance of the Project Infrastructure in accordance with the Specification and Standards, operation and maintenance manual provided by the original equipment Manufacturers (OEMs) and the terms of this Agreement to ensure that the Concessionaire is able to optimally use the Project Infrastructure during the Operation Period such that the Project is self-sustained. (d) carrying out periodic preventive maintenance of the Bus Terminal;Resort and Project Infrastructure (de) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Resort and Project Infrastructure so as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per to ensure compliance with the Maintenance Schedule of Requirements and the major infrastructure in the Bus TerminalSpecification and Standards; (f) preventingundertaking major maintenance, replacement of components and parts, repairs to structures, and repairs and development of associated facilities, including the Project Infrastructure; (g) providing round the clock security at the Project Site and preventing with the assistance of the concerned law enforcement agencies, any encroachments on or authorised entry on the Bus TerminalProject Site; (gh) protection of the environment and provision of equipment and materials therefortherefor in accordance with the Applicable Laws, Applicable Permits, terms of this Agreement and Good Industry Practice; (hi) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalResort and Project Infrastructure and for providing Hospitality Services in conformity with the Good Industry Practice; (ij) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agenciesGovernment Instrumentality, media and other agencies; (jk) complying with the Safety Requirements in accordance with Article 18;Requirements (kl) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Applicable Laws, Applicable Permits, Good Industry Practice; (l) maintaining punctuality Practice and reliability in operating the Bus Terminal; provisions of this Agreement and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste waterwastewater), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

More specifically, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall includebe responsible for : (ai) permitting safe, ensuring smooth and uninterrupted flow slaughtering of traffic on the Bus Terminal Animals during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (bii) minimising charging and collecting the Slaughtering Charges and depositing with JMC Notified Person the Slaughtering Fee in accordance with the Slaughtering Fee Notification and this Agreement on a weekly basis; Non deposition of the Slaughtering Fee continuously for a period of one month, except for reasons attributable to Force Majeure Event shall result into Concessionaire Event of Default under the terms of this Agreement. JMC shall in this regard notify the authorized person to collect the Slaughtering Fee (JMC Notified Person), from the Concessionaire; (iii) minimizing disruption to slaughtering activity in the event of failure of any part of the Project Facility or other incidents affecting the safety and use of the Bus Terminal Project/ Project Facility by providing a rapid and effective response and for this purpose maintaining liaison with emergency services of the Stateservices; (c) carrying out periodic preventive maintenance of the Bus Terminal; (div) undertaking routine maintenance of the Modern Slaughterhouse and/or any part thereof including prompt repairs of ticket counterspotholes, Workshopscracks, Authority's Office concrete joints, drains, lighting and other infrastructure as mentioned in the Operation power back ups, maintenance of vehicles for transport of Animals (both live and Maintenance Scheduleslaughtered) ; (ev) undertaking major maintenance such as per works in accordance with Maintenance Manual and the Maintenance Schedule of the major infrastructure in the Bus TerminalProgramme; (fvi) preventingpreventing with the assistance of concerned law enforcement agencies where necessary, any unauthorized use of the Project Facility; (vii) preventing with the assistance of the concerned law enforcement agenciesagencies where necessary, any encroachments on the Bus TerminalProject/Project Site and preserving the right of way of the Project; (gviii) protection of adherence to the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary safety standards as applicable for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus TerminalProject. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal HealthcareNetwork in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal HealthcareNetwork to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow provision of traffic on Healthcare Services and facilities to the Bus Terminal during Patientsduring normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) making the Healthcare Network available for use round the clock 24 (twenty four) hours a day and 365/366 (three hundred and sixty five/six) days a year during the Concession Period and meeting the service level requirements in the Healthcare Networkas defined in this Agreement; (c) collecting and appropriating the Feesfrom Patients or from Insurers providing the Insurance Scheme; (d) minimising disruption to Healthcare Services in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Healthcare Network by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) carrying out periodic preventive maintenance of the Bus TerminalHealthcareNetwork; (df) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance ScheduleProjectFacilities; (eg) undertaking major maintenance such as per repairs to the Maintenance Schedule HealthcareNetwork, repair or replacement of the major infrastructure in the Bus Terminalequipment, and repairs and up-gradation of HMISand communication systems and other equipment; (fh) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalHealthcareNetwork; (gi) protection of the environment and provision of equipment and materials therefortherefore; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalHealthcareNetwork; (ik) ensuring that the operation and maintenance of the Healthcare Network is in line with EHS and sustainability plan and standards and guidelines set out under Clause 5.9.2 including but not limited to L&FS equipment, effluent/wastewater treatment, non-hazardous, hazardous, radioactive and bio-medical waste collection, storage, handling, treatment and disposal systems; (l) maintaining a public relations unit to interface with and attend to suggestions from the UsersPatients, passengersvisitors, government agencies, media and other agencies; (jm) complying with Safety Requirements in accordance with Article 18; (kn) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (lo) maintaining punctuality and reliability in operating the Bus Terminal; andHealthcareNetwork; (mp) maintaining a high standard of cleanliness and hygiene in the Bus TerminalHealthcareNetwork; (q) operating and maintaining the Beds, the equipment and HMIS in the Healthcare Networkin accordance with the provision of thisAgreement and Applicable Laws; (r) providing Healthcare Services in accordance with the provisions of this Agreement; (s) appointing and retaining the human resource requirements in accordance with the provisions of this Agreement; and (t) complying with EHS and sustainability plan under Clause 5.9.2. 17.1.2 The Concessionaire shall ensure that immediate medical aid is provided to all Patients, including medico legal cases, without waiting for arrival of police or completion of legal formalities. 17.1.3 The Concessionaire shall remove promptly from the Bus Terminal HealthcareNetwork all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris waste (including, without limitation, accident debrishospital disposals) and keep the Bus Terminal Healthcare Network in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. For the avoidance of doubt, it is agreed that the medical and other waste material excavated shall be carried to and deposited in accordance with the Applicable Laws. 17.1.4 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 Concessionaire During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Storage Facility in accordance with this Agreement and in compliance with the performance standards given in Schedule G either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Storage Facility to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting : ensuring safe, smooth hygienic and uninterrupted flow efficient storage of traffic on Food grains in the Bus Terminal Storage Facility, including prevention of loss or damage thereto, during normal operating conditions. Buses ; minimising disruption to storage of Food Grains in the event of accidents or other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal Storage Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) ; carrying out periodic preventive maintenance of the Bus Terminal; (d) Storage Facility; procuring that the Availability of the Storage Capacity is not less than the Normative Availability undertaking routine operation and maintenance including prompt repairs of ticket countersthe Storage Facility in an efficient, Workshopscoordinated and economical manner, Authority's Office in compliance with the Standards and other infrastructure as mentioned Specifications, and procure Availability of the Storage Capacity to the Authority in accordance with the Operation provisions of this Agreement and Maintenance Schedule; (e) Applicable Laws; undertaking major maintenance such as per including Major Overhaul, replacement of components and parts, repairs to structures, and repairs and refurbishments of associated facilities and equipment; preventing, with the Maintenance Schedule assistance of concerned law enforcement agencies, any unauthorised use of the major infrastructure in the Bus Terminal; (f) Storage Facility; preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) Storage Facility; protection of the environment and provision of equipment and materials therefor; (h) therefore; operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) Storage Facility; maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) ; and complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Project and provide Testing Services for the Transport Vehicles coming to the I&C Facility in accordance with this Agreement either by itself, [or through the O&M Contractor who may be appointed only after taking prior written approval of the Authority] and if required, modify, repair or otherwise make improvements to the Bus Terminal Project to comply with the provisions of this AgreementAgreement including the Specifications and Standards, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall includeinclude the following: (a) permitting safeensure and procure that at all times during the Operation Period, smooth the Project Facilities are operated in accordance with the service quality manual as set forth in Schedule-K (the “Service Quality Manual”) provided by the Authority or any agency (such as ARAI/ ICAT/ CIRT) authorized by the Authority or as may be updated or modified from time to time during the Concession Period and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable provided to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority onlyConcessionaire; (b) minimising provide a monthly status report on the Key Performance Indicators as included in Schedule-D; (c) undertake, in compliance with the terms and conditions of this Agreement, including the Specifications and Standards, Applicable Laws, Applicable Permits, the Maintenance Manual, the Service Quality Manual and Good Industry Practice (i) the operation of the Project Facility and provide Testing Services to the Transport Vehicles by itself, and (ii) the maintenance of the Project Facilities by itself [or through an O&M Contractor(s)] who may be appointed only after taking prior written approval of the Authority; (d) conducting Vehicle Testing of Transport Vehicles as per the standards and manuals prescribed by the Authority or any nodal agency authorized by the Authority such as ARAI, ICAT or CIRT; (e) provide for adequate parking facilities at the Project Facilities to ensure that at any given point in time Transport Vehicles equivalent to the Capacity can be parked therein; (f) procuring that the Capacity of the I&C Facility shall at all times be to undertake Vehicle Testing of [•] number of Transport Vehicles; (g) minimizing disruption to the Project in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Project Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalProject and for providing the Testing Services; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengersTransport Vehicle attendants at the I&C Facility, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Applicable Laws and Good Industry Practice;; and (lk) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus TerminalProject Facility. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water)materials, rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project Facility in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and

Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) collecting and appropriating the User Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance ScheduleProject; (e) undertaking routine maintenance which must address ride access by passengers, maintenance and operational staff; safety during the ride; fundamental mechanical and electrical safety; fire safety; and noise; Undertaking major maintenance such as: ▪ Visual inspection for deterioration of the foundation or possible deterioration of the supporting ground; ▪ Inspection of the grout between the tower base and the foundation to identify any deterioration in the condition of the grout and it's effective weatherproofing ▪ Testing of the anchor bolts and tower base plates or welds for corrosion and cracking using non-destructive testing or other appropriate test systems; ▪ other maintenance as per the Maintenance Schedule of the major infrastructure in the Bus TerminalSchedule-K; (f) preventing, with the assistance of the concerned law enforcement agencies, any unauthorised use or encroachments on of the Bus TerminalProject, including the Site; (g) protection of the environment and provision of equipment and materials thereforthereof; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalProject; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

The obligations of the Concessionaire hereunder shall include: (a) permitting ensuring safe, smooth hygienic and uninterrupted flow efficient storage of traffic on Foodgrains in the Bus Terminal Storage Facility, including prevention of loss or damage thereto, during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) undertaking operation and maintenance of the Storage Facility in an efficient, coordinated and economical manner, in compliance with the Specifications and Standards, and procure Availability of the Storage Capacity to the Authority in accordance with the provisions of this Agreement and Applicable Laws; (c) procuring that the Availability of the Storage Capacity is not less than the Normative Availability; (d) minimising disruption to storage and movement of Foodgrains in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Storage Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) carrying out periodic preventive maintenance of the Bus TerminalStorage Facility; (df) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Storage Facility so as mentioned in to ensure compliance with the Operation Maintenance Requirements and Maintenance Schedulethe Specifications and Standards; (eg) undertaking major maintenance such as per the Maintenance Schedule including Major Overhaul, replacement of the major infrastructure in the Bus Terminalcomponents and parts, repairs to structures, and repairs and refurbishment of associated facilities including equipment; (fh) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on on, or unauthorised entry to the Bus TerminalStorage Facility; (gi) protection of the environment and provision of equipment and materials therefor; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalStorage Facility and for providing Storage Services; (ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (jl) complying with Safety Requirements in accordance with Article 18Clause 17.16; (km) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;; and (ln) maintaining punctuality and reliability in operating the Bus TerminalStorage Facility. (o) operataion and maintenance of the railway siding facility as per the regulations of Minsitry of Railways; (p) provide the necessary assistance to the third party rake operator appointed by the FCI as per the terms of agreement finalized by the Authority for loading/unloading of Foodgrains (Wheat) in form of Bulk/bagged through railway siding; and (mq) maintaining a high standard maintain the common facilities as per the requirements of cleanliness and hygiene in the Bus Terminal.authority 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Storage Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Storage Facility in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Licensed Premises. 17.1.4 If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of the Damages payable under this Agreement.

Operation and Maintenance. 17.1 O&M obligations a. SPLLC shall operate the Pipeline providing supervision, labor and materials. It is understood that LaGloria it not involved in the management, supervision, method of operation or maintenance and repair of the ConcessionairePipeline. 17.1.1 During b. The costs and expenses of electricity and tankage at LaGloria's N▇▇▇▇▇▇▇▇ Station shall be solely borne by LaGloria. All costs of operation of Pipeline Two, including labor and materials for maintenance and repair of Pipeline Two, shall be for the Operation Periodaccount of LaGloria. LaGloria will be responsible for the performance, at its sole expense, of all routine maintenance of the Concessionaire 1.9 miles of Pipeline Two from the inlet flange of the downstream ten-Inch, 300 pound gate valve at SPLLC's Bullard Junction to LaGloria's Tyler refinery, such as, but not limited to, clearing right of way, excavation, construction, maintenance, repair, inspection, testing, patrolling, corrosion control and aerial patrol. c. Except as provided in Subsection 8.b., above, all costs of operation of the Pipeline, including labor and materials for maintenance and repair of the Pipeline, shall operate be for the account of SPLLC SPLLC will be responsible for the performance, at its sole expense, of all routine maintenance of the Pipeline such as, but not limited to, clearing right of way, excavating, construction, maintenance, repair, inspection, testing, patrolling, corrosion control and maintain aerial patrol. d. SPLLC agrees to use its best efforts to schedule and/or perform any and all operations, maintenance and repair so as to avoid loss of use of the Bus Terminal Pipeline capacity by LeGloria and shall give LaGloria reasonable notice of maintenance and repair work, except in accordance with the case of emergency, prior to its performance. e. LaGloria shall designate a valve connection on a crude oil storage tank at LaGloria's Tyler refinery, which will be locked open by SPLLC for use in a relief valve system. SPLLC shall design and, upon approval from LaGloria, which approval shall not be unreasonably denied, install a pressure relief system from a point upstream of LaGloria's positive displacement meter at the Tyler refinery to this Agreement either by itselfdedicated valve. At the termination of this Lease, or through the O&M Contractor and if requiredthis relief valve system will be conveyed from SPLLC to LaGloria, modify, repair or otherwise make improvements at no cost to the Bus Terminal LaGloria. f. SPLLC agrees to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable all governmental regulations applicable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the UsersPipeline, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitationbut not limited to, accident debris) environmental and keep safety laws relating to the Bus Terminal in a cleanPipeline, tidy and orderly condition,at SPLLC's sole expense. Operation and Maintenance. 17.1 11.1. O&M obligations of the ConcessionaireLicensee 17.1.1 11.1.1. During the Operation Period, the Concessionaire Licensee shall operate and maintain the Bus Terminal premises in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal premises to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire Licensee hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic visitors on the Bus Terminal premises during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs repairs; (c) undertaking routine maintenance of ticket countersequipment if any; (d) preventing, Workshopswith the assistance of concerned law enforcement agencies, Authority's Office and other infrastructure as mentioned in any unauthorised use of the Operation and Maintenance Schedulepremises; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminalpremises; (gf) protection of the environment and provision of equipment and materials therefortherefore; (hg) operation and maintenance of all communication, control and administrative systems administrativesystems necessary for the efficient operation of the Bus TerminalLicensed premises; (ih) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (ji) complying with Safety Requirements in accordance with Article 18;. (k) operation and maintenance 11.1.2. The usage of all Project Assets diligently and efficiently and Retail business space shall be in accordance with Good Industry Practice;the activities as listed in 11.1.3. Licensee shall keep and maintain the Licensed Space in neat & clean, safe & sound condition by maintaining it properly at their own cost during the License Period. Licensee shall bear the cost of minor day-to-day repairs, annual refurbishing and routine special repairs requireddue to normal wear & tear with the efflux of time or due to planning/ constructional defects remained during augmentation of the Licensed Space. Any defective, weak or corroded structure should be replaced immediately with new proper structure after due certification from reputed agency. 11.1.4. Licensee shall ensure that all electrical wiring, power outlets and gadgets used are maintained properly, guarded against short circuits / fires. The instructions of ▇▇▇▇-Metro’s electrical inspectors/ authorized representative shall be complied by the licensee at its own cost. 11.1.5. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the safety issues during any emergency including operation of fire extinguisher. 11.1.6. In case of accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro Retail, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement. 11.1.7. The Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remain vested with Maha-Metro who shall have right to inspect the whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (lMetro) maintaining punctuality is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10. Licensee and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene its employees or other persons involved in the Bus Terminalexecution of the work shall not, in any way, impinge on the safety and security of metro operations, passenger safety, safety of metro properties and its assets. 17.1.2 11.1.11. The Concessionaire Licensee and their authorized representatives shall remove promptly from have free access to the Bus Terminal licensed spaces at all surplus construction machinery and materialsthe times. The necessary identity cards to such person(s) shall be issued by Maha-Metro in accordance with its extant policy. However, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,entry into paid area or travelling by Metro trains shall be as per general policy to Maha-Metro commuters.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Rail System in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Rail System to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. Provided that notwithstanding anything to the contrary contained in this Agreement, Parties may mutually agree for MOR to undertake the maintenance of the Rail System at the cost of the Concessionaire to be calculated in accordance with provisions of Schedule-R. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal Rail System during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Rail System by providing a rapid and effective response and maintaining liaison with emergency services of the StateState and the Zonal Railway; (c) carrying out periodic preventive maintenance of the Bus TerminalRail System; (d) undertaking routine maintenance including prompt repairs of ticket counterstrack, Workshopsvia ducts, Authority's Office [tunnels, underpasses, skywalks], joints, drains, embankments, structures, signalling systems, communication systems, lighting and other infrastructure as mentioned in the Operation and Maintenance ScheduleTraction System; (e) undertaking major maintenance such as per the Maintenance Schedule track replacement, repairs to structures, repairs and refurbishment of the major infrastructure in the Bus Terminalsignalling and communication system, overhaul of Traction System and other equipment; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalRail System; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalRail System; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18;19; and (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;. (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in on the Bus TerminalRail System. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Rail System all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,waste

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Healthcare Network in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Healthcare Network to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow provision of traffic on Healthcare Services and facilities to the Bus Terminal Patients during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) making the Healthcare Network available for use round the clock 24 (twenty four) hours a day and 365/366 (three hundred and sixty five/six) days a year during the Concession Period and meeting the service level requirements in the Healthcare Network as defined in this Agreement; (c) collecting and appropriating the Fees from Patients or from Insurers providing the Insurance Scheme; (d) minimising disruption to Healthcare Services in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Healthcare Network by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) carrying out periodic preventive maintenance of the Bus TerminalHealthcare Network; (df) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance ScheduleProject Facilities; (eg) undertaking major maintenance such as per repairs to the Maintenance Schedule Healthcare Network, repair or replacement of the major infrastructure in the Bus Terminalequipment, and repairs and up-gradation of HMIS and communication systems and other equipment; (fh) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalHealthcare Network; (gi) protection of the environment and provision of equipment and materials therefortherefore; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalHealthcare Network; (ik) ensuring that the operation and maintenance of the Healthcare Network is in line with EHS and sustainability plan and standards and guidelines set out under Clause 5.9.2 including but not limited to L&FS equipment, effluent/wastewater treatment, non-hazardous, hazardous, radioactive and bio-medical waste collection, storage, handling, treatment and disposal systems; (l) maintaining a public relations unit to interface with and attend to suggestions from the UsersPatients, passengersvisitors, government agencies, media and other agencies; (jm) complying with Safety Requirements in accordance with Article 18; (kn) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (lo) maintaining punctuality and reliability in operating the Bus Terminal; andHealthcare Network; (mp) maintaining a high standard of cleanliness and hygiene in the Bus TerminalHealthcare Network; (q) operating and maintaining the Beds, the equipment and HMIS in the Healthcare Network in accordance with the provision of this Agreement and Applicable Laws; (r) providing Healthcare Services in accordance with the provisions of this Agreement; and (s) appointing and retaining the human resource requirements in accordance with the provisions of this Agreement. (t) complying with EHS and sustainability plan under Clause 5.9.2 17.1.2 The Concessionaire shall ensure that immediate medical aid is provided to all Patients, including medico legal cases, without waiting for arrival of police or completion of legal formalities. 17.1.3 The Concessionaire shall remove promptly from the Bus Terminal Healthcare Network all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris waste (including, without limitation, accident debrishospital disposals) and keep the Bus Terminal Healthcare Network in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. For the avoidance of doubt, it is agreed that the medical and other waste material excavated shall be carried to and deposited in accordance with the Applicable Laws. 17.1.4 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site.

Operation and Maintenance. 17.1 O&M obligations Obligations and Maintenance Requirements of the ConcessionaireDeveloper 17.1.1 During Till the Operation Periodexpiry of 1 (one) year from the achievement of COD, the Concessionaire Developer shall operate and maintain the Bus Terminal Residential Property in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project Utilities and facilities within Residential Property to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. Thereafter, the SH&DB shall ensure incorporation of the society/ association/ body corporate of the allottees and the Developer shall be required to hand over the O&M work to the aforesaid society/association/body corporate. The obligations of the Concessionaire Developer hereunder within the Maintenance Requirements Period of two years shall include: (a) permitting safe, smooth providing quality living environment in the residential zone by making available functional living facilities and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority onlysupporting infrastructure as per Good Industry Practice; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus TerminalResidential Property; (c) undertake repairs and maintenance of the supporting infrastructure like prompt repairs of pothole in the internal road network, prevention of leakages in water lines and fittings, etc (d) undertaking routine maintenance including prompt repairs undertake servicing of ticket countersthe Lifts, WorkshopsDG Sets, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance SchedulePumps, Motors etc to prevent unexpected breakdown; (e) undertaking major attend to any emergency breakdown maintenance such as per of all utilities and other supporting facilities to ensure delivery of quality services to the Maintenance Schedule of the major infrastructure in the Bus Terminalinhabitants; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefortherefore; (hg) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalResidential Property; (ih) maintaining a public relations complaint redressal cell/ unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (ji) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire Developer shall remove promptly from the Bus Terminal Residential Property all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Residential Property in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Sports Infrastructure Project in accordance with this Agreement either by itself, or through the any experienced O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safeensuring optimal operation and maintenance of the Sports Infrastructure Project, smooth in accordance with the Specifications and uninterrupted flow Standards prescribed herein, throughout the Concession Period, either by performing the operation and maintenance itself or by making durable, effective and permanent arrangements for due performance of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire operation and if any charges are applicable for such parking then it shall be realized maintenance obligations by Authority onlythird party(s); (b) minimising incidents affecting collecting and appropriating the safety and use of Fees from the Bus Terminal by providing a rapid and effective response and maintaining liaison Sports Infrastructure Project in accordance with emergency services of the Stateprovisions contained herein; (c) complying with the Safety Requirements; (d) carrying out periodic preventive maintenance of the Bus TerminalSports Infrastructure Project; (de) carrying out periodic renovation as required from time to time so that the Sports Infrastructure Project is always in conformity with the Scope of the Project; (f) undertaking routine maintenance including prompt repairs of ticket counterspotholes, Workshopscracks, Authority's Office joints, structures, buildings, pavement lighting, road signs, electricity lines, telephone lines, water facilities, sewage system and other infrastructure as mentioned in public amenities on the Operation and Maintenance ScheduleSite; (eg) undertaking major maintenance such as per the Maintenance Schedule resurfacing of the major roads, pavements, repairs to structures and buildings including repairs and refurbishment of other infrastructure in the Bus Terminaland Sports Infrastructure Project Facilities; (fh) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Site; (i) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalSite; (gj) protection of the environment and provision of equipment and materials therefortherefor so that the Sports Infrastructure Project is in compliance with Applicable Permits including environmental clearance(s); (hk) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal;Sports Infrastructure Project; and (il) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall promptly remove promptly from the Bus Terminal Sports Infrastructure Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Sports Infrastructure Project in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project Bus Terminal Port in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Bus Terminal Port to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on within the Project Bus Terminal Port during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Bus Terminal Port by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) carrying out periodic preventive maintenance of the Project Bus TerminalPort; (de) undertaking routine maintenance including prompt repairs of ticket counterspotholes, Workshopscracks, Authority's Office joints, drains, embankments, structures, pavement markings, lighting, road signs and other infrastructure as mentioned in the Operation and Maintenance Scheduletraffic control devices; (ef) undertaking major maintenance such as per the Maintenance Schedule resurfacing of the major infrastructure in the Bus Terminalpavements, repairs to structures, and repairs and refurbishment of f system and other equipment; (fg) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Project Bus Port; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Project Bus TerminalPort; (gi) protection of the environment and provision of equipment and materials therefortherefore; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Bus TerminalPort; (ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (jl) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Project Bus Terminal Port all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Bus Terminal Port in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

Operation and Maintenance. 17.1 17.1. O&M obligations of the Concessionaire 17.1.1 17.1.1. During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Airport in accordance with this Agreement Agreement, Applicable Laws and Applicable Permits either by itself, or through the O&M Contractor Contractors and if required, modify, repair or otherwise make improvements to the Bus Terminal Airport to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) ensuring to provide the Aeronautical Services, Non-Aeronautical Services and such other services, as are required as per the terms of this Agreement and Good Industry Practice; (b) permitting safe, smooth and uninterrupted movement of Users and flow of traffic on the Bus Terminal Airport, including prevention of loss or damage thereto, during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (bc) collecting and appropriating the Fee; (d) minimising disruption to movement of Users and flow of traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Airport by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) carrying out periodic preventive maintenance of the Bus TerminalAirport; (df) ensuring that the Aeronautical Assets, including Runways, taxiways, aprons and approach areas are maintained and operated in accordance with the provisions contained in Applicable Laws, Applicable Permits and relevant ICAO Documents and Annexes; (g) ensuring that Runways, including the strips, shoulders, stop way and RESA for Runway and strips and shoulders for taxiways and isolation bays are maintained in accordance with the provisions contained in Applicable Laws, Applicable Permits and relevant ICAO Documents and Annexes; (h) ensuring that the obstacle limitation surfaces of the Airport and the approach and take- off areas shall be maintained free from obstructions or that the obstructions shall be limited to the permissible limits specified in Applicable Laws and relevant ICAO Documents and Annexes; (i) undertaking routine maintenance including prompt repairs of ticket counterscracks, Workshopsjoints, Authority's Office drainage systems, embankments, structures, buildings, pavement markings, signaling systems, communication systems, lighting, road signs and other infrastructure as mentioned in the Operation and Maintenance Scheduleequipment; (ej) undertaking major maintenance such as per the Maintenance Schedule repairs to structures, repairs and refurbishment of the equipment, signaling and communication system and major infrastructure in the Bus Terminaloverhaul of equipment; (fk) procuring that the sensitive and critical areas, as identified by the Authority or the Designated GOI Agency, as the case may be, for the operation of CNS/ATM Equipment and facilities shall be maintained free of any obstructions and that no obstruction which may hamper the safety or functioning of these equipments and facilities or endanger the safety of aircraft operations shall be permitted; (l) procuring that appropriate arrangements and precautions have been undertaken at the Airport to prevent bird and animal nuisance in and around the operational areas, Runway and taxiways; (m) maintaining the Airfield Lighting System and the main and standby power supply systems in accordance with the standards prescribed in Applicable Laws, latest DGCA CAR and relevant ICAO Documents and Annexes; (n) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on on, unauthorized entry to or unauthorized use of the Bus TerminalAirport; (go) protection and conservation of the environment and provision of equipment and materials therefor; (hp) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation and management of the Bus TerminalAeronautical and Non- Aeronautical Services; (iq) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agenciesGovernment Instrumentalities, media and other agenciesagencies in accordance with the Applicable Laws, for providing the requisite information; (jr) complying with Safety Requirements in accordance with Article 1823; (ks) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (lt) maintaining punctuality and reliability in operating the Bus Terminal; andAirport; (mu) maintaining a high standard of cleanliness and hygiene on the Airport; (v) taking all measures relating to fire precautions in accordance with relevant ICAO standards, Applicable Laws, Applicable Permits and Good Industry Practice; and (w) providing all the Bus Terminalrequisite information, data, operating statistics, etc., as may be required by the Authority, any of the Government Instrumentality, DGCA, GoUP or GOI, from time to time. 17.1.2 17.1.2. The Concessionaire shall promptly remove promptly from the Bus Terminal Airport all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Airport in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and

Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket countersTicket Counters, Workshops, Authority's Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule;, (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal]; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in on the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site but not forming part of the Bus Terminal.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the The Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either Project/Project Facility by itself, or through the O&M a Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project/ Project Facility to comply with the provisions of Project Requisites, and other requirements set forth in this Agreement, Good Industry Practice, Applicable Laws and Applicable PermitsPermits and manufacturer's guidelines and instructions with respect to Modern Slaughterhouse. More specifically, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall includebe responsible for : (ai) permitting safe, ensuring smooth and uninterrupted flow slaughtering of traffic on the Bus Terminal Animals during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (bii) minimising charging and collecting the Slaughtering Charges and depositing with MMC Notified Person the Slaughtering Fee in accordance with the Slaughtering Fee Notification and this Agreement on a weekly basis; Non deposition of the Slaughtering Fee continuously for a period of one month, except for reasons attributable to Force Majeure Event shall result into Concessionaire Event of Default under the terms of this Agreement. MMC shall in this regard notify the authorized person to collect the Slaughtering Fee (MMC Notified Person), from the Concessionaire; (iii) minimizing disruption to slaughtering activity in the event of failure of any part of the Project Facility or other incidents affecting the safety and use of the Bus Terminal Project/ Project Facility by providing a rapid and effective response and for this purpose maintaining liaison with emergency services of the Stateservices; (c) carrying out periodic preventive maintenance of the Bus Terminal; (div) undertaking routine maintenance of the Modern Slaughterhouse and/or any part thereof including prompt repairs of ticket counterspotholes, Workshopscracks, Authority's Office concrete joints, drains, lighting and other infrastructure as mentioned in the Operation power back ups, maintenance of vehicles for transport of Animals (both live and Maintenance Scheduleslaughtered) ; (ev) undertaking major maintenance such as per works in accordance with Maintenance Manual and the Maintenance Schedule of the major infrastructure in the Bus TerminalProgramme; (fvi) preventingpreventing with the assistance of concerned law enforcement agencies where necessary, any unauthorized use of the Project Facility; (vii) preventing with the assistance of the concerned law enforcement agenciesagencies where necessary, any encroachments on the Bus TerminalProject/Project Site and preserving the right of way of the Project; (gviii) protection of adherence to the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary safety standards as applicable for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus TerminalProject. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

Operation and Maintenance. 17.1 16.1 O&M obligations of the ConcessionaireMine Operator 17.1.1 16.1.1 During the Operation Period, the Concessionaire Mine Operator shall operate and maintain the Bus Terminal Mines and Equipment in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Mines and Equipment to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to the Specifications and Standards and Good Standard Industry Practice. The Mine Operator or the O&M Contractor can operate and maintain the Mines with leased Equipment, provided that the Specifications and Standards are in conformity with Schedule-D and the Equipment are maintained in conformity with the Maintenance Requirements. The obligations of the Concessionaire Mine Operator hereunder shall include: (a) permitting ensuring safe, smooth and uninterrupted flow extraction of traffic on Coal and Delivery thereof from the Bus Terminal Mines, including prevention of loss or damage thereto, during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) undertaking operation and maintenance of the Mines in an efficient, coordinated and economical manner, in compliance with Applicable Laws and Standard Industry Practice; (c) undertaking development in accordance with the provisions of this Agreement; (d) undertaking appropriate measures for supporting of the roof and strata control and monitoring of the same to ensure compliance with Applicable Laws, Applicable Permits and Specifications and Standards; (e) undertaking proper ventilation of the underground Mines and its monitoring to ensure compliance with Applicable Laws, Applicable Permits and Specifications and Standards; (f) undertake monitoring of surface subsidence and proper management including fencing, backfilling, etc. to ensure compliance with Applicable Laws, Applicable Permits and Specification and Standards; (g) providing appropriate signaling and communication system for the Mines to ensure proper communication and monitoring of the Mines; (h) minimising disruption to operation of the Mines in the event of accidents or other incidents affecting the safety and use operation of the Bus Terminal Mines by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ci) carrying out periodic preventive maintenance of the Bus TerminalMines; (dj) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all components of the Mines and other infrastructure Equipment so as mentioned in to ensure compliance with the Operation Maintenance Requirements and Maintenance Schedulethe Specifications and Standards; (ek) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus TerminalEquipment and installations; (fl) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on on, or unauthorised entry to the Bus TerminalSite; (gm) protection of the environment and provision of equipment and materials therefor; (hn) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalMines and Equipment and for providing safe, smooth and uninterrupted extraction of Coal and Delivery thereof from the Mines; (io) maintaining a public relations unit to for interface with and attend to suggestions from the Users, passengersProject Affected Persons, government agencies, media and other agencies; (jp) complying with Safety Requirements in accordance with Article 1817; (kq) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Standard Industry Practice;; and (lr) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard Mines and Delivery of cleanliness and hygiene in the Bus TerminalCoal. 17.1.2 16.1.2 The Concessionaire Mine Operator shall remove all waste rocks/debris generated during the course of development and operations of the Mines in accordance with Applicable Laws, Standard Industry Practice and the provisions of this Agreement. 16.1.3 The Mine Operator shall promptly remove from the Bus Terminal Mines, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Mines in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and Standard Industry Practice. 16.1.4 The Mine Operator shall maintain, in conformity with Standard Industry Practice, all stretches of roads and other structures situated on the Site. 16.1.5 If the Mine Operator fails to comply with any directions issued by a Government Instrumentality, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Mine Operator, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of, the Damages payable under this Agreement.

Operation and Maintenance. 17.1 11.1. O&M obligations of the ConcessionaireLicensee 17.1.1 11.1.1. During the Operation Period, the Concessionaire Licensee shall operate and maintain the Bus Terminal premises in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal premises to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire Licensee hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic visitors on the Bus Terminal premises during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs repairs; (c) undertaking routine maintenance of ticket countersequipment if any; (d) preventing, Workshopswith the assistance of concerned law enforcement agencies, Authority's Office and other infrastructure as mentioned in any unauthorised use of the Operation and Maintenance Schedulepremises; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminalpremises; (gf) protection of the environment and provision of equipment and materials therefortherefore; (hg) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalLicensed premises; (ih) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (ji) complying with Safety Requirements in accordance with Article 18;. (k) operation and maintenance 11.1.2. The usage of all Project Assets diligently and efficiently and property business space shall be in accordance with Good Industry Practice;the activities as listed in Annexure – 2 : List of Preferable Activities and Banned/Dis-allowed Activities (l) 11.1.3. Licensee shall keep and maintain the Licensed Space in neat & clean, safe & sound condition by maintaining punctuality it properly at their own cost during the License Period. Licensee shall bear the cost of minor day-to-day repairs, annual refurbishing and reliability routine special repairs required due to normal wear & tear with the efflux of time or due to planning/ constructional defects remained during augmentation of the Licensed Space. Any defective, weak or corroded structure should be replaced immediately with new proper structure after due certification from reputed agency. 11.1.4. Licensee shall ensure that all electrical wiring, power outlets and gadgets used are maintained properly, guarded against short circuits / fires. The instructions of ▇▇▇▇-Metro’s electrical inspectors/ authorized representative shall be complied by the licensee at its own cost. 11.1.5. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in operating good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the Bus Terminal; andsafety issues during any emergency including operation of fire extinguisher. (m) maintaining a high standard 11.1.6. In case of cleanliness accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro property, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement, and hygiene licensee will be blacklisted for the period of three years for participating in the Bus Terminaltenders of Maha-Metro. 17.1.2 11.1.7. The Concessionaire Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remove promptly from remain vested with Maha-Metro who shall have right to inspect the Bus Terminal whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all surplus construction machinery instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (Metro) is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10. Licensee and materialsits employees or other persons involved in the execution of the work shall not, waste materials (including hazardous materials in any way, impinge on the safety and waste water)security of metro operations, rubbish passenger safety, safety of metro properties and other debris (includingits assets. 11.1.11. The Licensee and their authorized representatives shall have free access to the licensed spaces at all the times. The necessary identity cards to such person(s) shall be issued by Maha-Metro in accordance with its extant policy. However, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,entry into paid area or travelling by Metro trains shall be as per general policy to Maha-Metro commuters.
