Common use of Operation and Maintenance Clause in Contracts

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,

[For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site but not forming part of the Bus Terminal.

Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority onlyResort; (b) minimising incidents affecting the safety undertaking operation and use maintenance of the Bus Terminal by providing a rapid Resort in an efficient, coordinated and effective response economical manner, in compliance with the Specification and maintaining liaison with emergency services of the StateStandards; (c) undertaking operation and maintenance of the Project Infrastructure in accordance with the Specification and Standards, operation and maintenance manual provided by the OEMs and the terms of this Agreement to ensure that the Concessionaire is able to optimally use the Project Infrastructure during the Operation Period such that the Project is self-sustained; (d) carrying out periodic preventive maintenance of the Bus TerminalResort and Project Infrastructure; (de) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Resort and Project Infrastructure so as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such as per to ensure compliance with the Maintenance Schedule of Requirements and the major infrastructure in the Bus TerminalSpecification and Standards; (f) preventingundertaking major maintenance, replacement of components and parts, repairs to structures, and repairs and development of associated facilities, including the Project Infrastructure; (g) providing round the clock security at the Project Site and preventing with the assistance of the concerned law enforcement agencies, any encroachments on or authorised entry on the Bus TerminalProject Site; (gh) protection of the environment and provision of equipment and materials therefortherefor in accordance with the Applicable Laws, Applicable Permits, terms of this Agreement and Good Industry Practice; (hi) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalResort and Project Infrastructure and for providing Hospitality Services in conformity with the Good Industry Practice; (ij) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agenciesGovernment Instrumentality, media and other agencies; (jk) complying with the Safety Requirements in accordance with Article 18;Requirements; and (kl) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Applicable Laws, Applicable Permits, Good Industry Practice; (l) maintaining punctuality Practice and reliability in operating the Bus Terminal; and (m) maintaining a high standard provisions of cleanliness and hygiene in the Bus Terminalthis Agreement. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Project Site all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Resort and Project Infrastructure in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits, Good Industry Practice and the provisions of this Agreement. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice and Applicable Laws and Applicable Permits, all stretches of approach roads, or other structures situated on the Project Site. 17.1.4 If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to and independent of the Damages payable under this Agreement. In the event the Authority is required to pay any penalty to the Government Instrumentality under any Applicable Laws then the Authority shall be entitled to be indemnified by the Concessionaire under Article 37.

Under this Agreement, Solvay will reimburse National Grid for the actual costs associated with owning, operating, maintaining punctuality and reliability repairing the National Grid Interconnection Facilities in operating accordance with Good Utility Practice. National Grid shall notify Solvay of the Bus Terminal; schedule for scheduled outages of National Grid Interconnection Facilities and transmission facilities in accordance with Good Utility Practice and National Grid standard practices and (m) maintaining a high standard , upon making any changes to such schedules thereafter, shall promptly notify Solvay of cleanliness and hygiene in the Bus Terminalany such changes. 17.1.2 The Concessionaire 5.1.2 Solvay, at its own expense, shall remove operate, maintain and repair (repair includes, but is not limited to, replacement of existing equipment when required due to failure) the Solvay Substations and Solvay Interconnection Facilities in accordance with Good Utility Practice and this Agreement. Solvay shall notify National Grid of the schedule for scheduled outages of the Solvay Substations in accordance with Good Utility Practice and National Grid standard practices and, upon making any changes to such schedules thereafter, shall promptly from notify National Grid of any such changes. 5.1.3 In furtherance of the Bus Terminal all surplus construction machinery Parties' mutual objective to preserve and materialsmaintain the reliability of the Transmission System, waste materials (including hazardous materials the Solvay System and waste water)the Solvay Substations, rubbish the Parties agree to coordinate the planning and other debris (including, without limitation, accident debris) scheduling of any outages and keep the Bus Terminal any changes thereto in a cleanmanner that will preserve and maintain the reliability of, tidy and orderly condition,minimize the effect on, the National Grid Transmission System and the Solvay System consistent with Good Utility Practice, ▇▇▇▇▇▇▇▇ ▇▇. ▇▇▇, ▇▇▇▇▇ practices and National Grid standard practices. 5.1.4 In furtherance of the Parties' mutual objective to preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations, the Parties agree to coordinate the planning and scheduling of preventative and corrective maintenance in a manner that will preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations. The Parties shall conduct preventative maintenance and corrective maintenance activities as scheduled and planned, or as they become necessary, consistent with Good Utility Practice. 5.1.5 If Solvay requests that National Grid perform maintenance during a time period other than as scheduled by National Grid, National Grid will use Commercially Reasonable Efforts to meet Solvay's request as long as meeting the request would not reasonably be expected, as determined by National Grid, to have an adverse impact upon National Grid's operations or the operations of National Grid's customers. Notwithstanding the foregoing, should Solvay request to perform maintenance that National Grid in good faith determines may have an adverse impact on National Grid's operations or the operations of National Grid's customers, and if such maintenance may be delayed until after such period, National Grid may reject Solvay's scheduling request. Solvay shall reimburse National Grid for all actual costs incurred by National Grid related to satisfying Solvay's request.

Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal XXX Ropeway by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance ScheduleXXX Ropeway; (e) undertaking major routine maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus TerminalXXX Ropeway; (f) undertaking major maintenance of the XXX Ropeway; (g) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the XXX Ropeway; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalXXX Ropeway; (gi) protection of the environment and provision of equipment and materials therefortherefore; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalXXX Ropeway; (ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and (jl) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall remove remove, promptly from the Bus Terminal Project Site, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project Site in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

Operation and Maintenance. 17.1 17.1. O&M obligations of the Concessionaire 17.1.1 17.1.1. During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal Storage Facility in accordance with this Agreement and in compliance with the performance standards given in Schedule G either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Storage Facility to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting a. ensuring safe, smooth hygienic and uninterrupted flow efficient storage of traffic on Food grains in the Bus Terminal Storage Facility, including prevention of loss or damage thereto, during normal operating conditions. The Concessionaire shall remove promptly from the Bus Terminal Storage Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Storage Facility in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3. The Concessionaire shall maintain, in conformity with Good Industry Practice, storage Silos, handling facilities, all stretches of approach roads or other structures situated on the Site. 17.1.4. If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of the Damages payable under this Agreement.

Under this Agreement, Solvay will reimburse National Grid for the actual costs associated with owning, operating, maintaining punctuality and reliability repairing the National Grid Interconnection Facilities in operating accordance with Good Utility Practice. National Grid shall notify Solvay of the Bus Terminal; schedule for scheduled outages of National Grid Interconnection Facilities and transmission facilities in accordance with Good Utility Practice and National Grid standard practices and (m) maintaining a high standard , upon making any changes to such schedules thereafter, shall promptly notify Solvay of cleanliness and hygiene in the Bus Terminalany such changes. 17.1.2 The Concessionaire 5.1.2 Solvay, at its own expense, shall remove operate, maintain and repair (repair includes, but is not limited to, replacement of existing equipment when required due to failure) the Solvay Substations and Solvay Interconnection Facilities in accordance with Good Utility Practice and this Agreement. Solvay shall notify National Grid of the schedule for scheduled outages of the Solvay Substations in accordance with Good Utility Practice and National Grid standard practices and, upon making any changes to such schedules thereafter, shall promptly from notify National Grid of any such changes. 5.1.3 In furtherance of the Bus Terminal all surplus construction machinery Parties' mutual objective to preserve and materialsmaintain the reliability of the Transmission System, waste materials (including hazardous materials the Solvay System and waste water)the Solvay Substations, rubbish the Parties agree to coordinate the planning and other debris (including, without limitation, accident debris) scheduling of any outages and keep the Bus Terminal any changes thereto in a cleanmanner that will preserve and maintain the reliability of, tidy and orderly condition,minimize the effect on, the National Grid Transmission System and the Solvay System consistent with Good Utility Practice, Bulletin No. 752, NYISO practices and National Grid standard practices. 5.1.4 In furtherance of the Parties' mutual objective to preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations, the Parties agree to coordinate the planning and scheduling of preventative and corrective maintenance in a manner that will preserve and maintain the reliability of the Transmission System, the Solvay System and the Solvay Substations. The Parties shall conduct preventative maintenance and corrective maintenance activities as scheduled and planned, or as they become necessary, consistent with Good Utility Practice. 5.1.5 If Solvay requests that National Grid perform maintenance during a time period other than as scheduled by National Grid, National Grid will use Commercially Reasonable Efforts to meet Solvay's request as long as meeting the request would not reasonably be expected, as determined by National Grid, to have an adverse impact upon National Grid's operations or the operations of National Grid's customers. Notwithstanding the foregoing, should Solvay request to perform maintenance that National Grid in good faith determines may have an adverse impact on National Grid's operations or the operations of National Grid's customers, and if such maintenance may be delayed until after such period, National Grid may reject Solvay's scheduling request. Solvay shall reimburse National Grid for all actual costs incurred by National Grid related to satisfying Solvay's request.

For avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to and independent of the Damages payable under this Agreement. In the event the Authority is required to pay any penalty to the Government Instrumentality under any Applicable Laws then the Authority shall be entitled to be indemnified by the Concessionaire under Article 37.

Replacement of spare parts shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office and other infrastructure as mentioned in the Operation and Maintenance Schedule; (e) undertaking major maintenance such done as per the Maintenance Schedule OEM manual of the major infrastructure in the Bus Terminal;equipment / machinery. The usage of all Project Assets diligently and efficiently and property business space shall be in accordance with Good Industry Practice;the activities as listed in Annexure – 2 : List of Preferable Activities and Banned/Dis-allowed Activities 11.1.3. Licensee shall keep and maintain the Licensed Space in neat & clean, safe & sound condition by maintaining it properly at their own cost during the License Period. Licensee shall bear the cost of minor day-to-day repairs, annual refurbishing and routine special repairs required due to normal wear & tear with the efflux of time or due to planning/ constructional defects remained during augmentation of the Licensed Space. Any defective, weak or corroded structure should be replaced immediately with new proper structure after due certification from reputed agency. 11.1.4. Licensee shall ensure that all electrical wiring, power outlets and gadgets used are maintained properly, guarded against short circuits / fires. The instructions of ▇▇▇▇-Metro’s electrical inspectors/ authorized representative shall be complied by the licensee at its own cost. 11.1.5. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the safety issues during any emergency including operation of fire extinguisher. 11.1.6. In case of accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro property, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement. 11.1.7. The Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remain vested with Maha-Metro who shall have right to inspect the whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (lMetro) maintaining punctuality is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10. Licensee and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene its employees or other persons involved in the Bus Terminalexecution of the work shall not, in any way, impinge on the safety and security of metro operations, passenger safety, safety of metro properties and its assets. 17.1.2 11.1.11. The Concessionaire Licensee and their authorized representatives shall remove promptly from have free access to the Bus Terminal licensed spaces at all surplus construction machinery and materialsthe times. The necessary identity cards to such person(s) shall be issued by Maha-Metro in accordance with its extant policy. However, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition,entry into paid area or travelling by Metro trains shall be as per general policy to Maha-Metro commuters.

Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire and if any charges are applicable for such parking then it shall be realized by Authority only; (b) undertaking operation and maintenance of the Storage Facility in an efficient, coordinated and economical manner, in compliance with the Specifications and Standards, and procure Availability of the Storage Capacity to the Authority in accordance with the provisions of this Agreement and Applicable Laws; (c) procuring that the Availability of the Storage Capacity is not less than the Normative Availability; (d) minimising disruption to storage and movement of Foodgrains in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Storage Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) carrying out periodic preventive maintenance of the Bus TerminalStorage Facility; (df) undertaking routine maintenance including prompt repairs of ticket counters, Workshops, Authority's Office all elements and other infrastructure components of the Storage Facility so as mentioned in to ensure compliance with the Operation Maintenance Requirements and Maintenance Schedulethe Specifications and Standards; (eg) undertaking major maintenance such as per the Maintenance Schedule including Major Overhaul, replacement of the major infrastructure in the Bus Terminalcomponents and parts, repairs to structures, and repairs and refurbishment of associated facilities including equipment; (fh) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on on, or unauthorised entry to the Bus TerminalStorage Facility; (gi) protection of the environment and provision of equipment and materials therefor; (hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalStorage Facility and for providing Storage Services; (ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (jl) complying with Safety Requirements in accordance with Article 18Clause 17.16; (km) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;; and (ln) maintaining punctuality and reliability in operating the Bus TerminalStorage Facility. (o) operataion and maintenance of the railway siding facility as per the regulations of Minsitry of Railways; (p) provide the necessary assistance to the third party rake operator appointed by the FCI as per the terms of agreement finalized by the Authority for loading/unloading of Foodgrains (Wheat) in form of Bulk/bagged through railway siding; and (mq) maintaining a high standard maintain the common facilities as per the requirements of cleanliness and hygiene in the Bus Terminal.authority 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal Storage Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Storage Facility in a clean, tidy and orderly condition,, and in conformity with Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Licensed Premises. 17.1.4 If the Concessionaire fails to comply with any directions issued by the Authority or any Government Instrumentality acting under any Applicable Laws, as the case may be, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Concessionaire, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of the Damages payable under this Agreement.

Operation and Maintenance. 17.1 O&M obligations a. SPLLC shall operate the Pipeline providing supervision, labor and materials. LaGloria shall designate a valve connection on a crude oil storage tank at LaGloria's Tyler refinery, which will be locked open by SPLLC for use in a relief valve system. SPLLC shall design and, upon approval from LaGloria, which approval shall not be unreasonably denied, install a pressure relief system from a point upstream of LaGloria's positive displacement meter at the Tyler refinery to this Agreement either by itselfdedicated valve. At the termination of this Lease, or through the O&M Contractor and if requiredthis relief valve system will be conveyed from SPLLC to LaGloria, modify, repair or otherwise make improvements at no cost to the Bus Terminal LaGloria. f. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the safety issues during any emergency including operation of fire extinguisher. 11.1.6. In case of accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro Retail, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement. 11.1.7. The Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remain vested with Maha-Metro who shall have right to inspect the whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (lMetro) maintaining punctuality is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10. Licensee and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene its employees or other persons involved in the Bus Terminalexecution of the work shall not, in any way, impinge on the safety and security of metro operations, passenger safety, safety of metro properties and its assets. 17.1.2 11.1.11. Buses of other state road transport corporations shall be parked inside the Bus Terminal for which no charges shall be payable to the Concessionaire operation and if any charges are applicable for such parking then it shall be realized maintenance obligations by Authority onlythird party(s); (b) minimising incidents affecting collecting and appropriating the safety and use of Fees from the Bus Terminal by providing a rapid and effective response and maintaining liaison Sports Infrastructure Project in accordance with emergency services of the Stateprovisions contained herein; (c) complying with the Safety Requirements; (d) carrying out periodic preventive maintenance of the Bus TerminalSports Infrastructure Project; (de) carrying out periodic renovation as required from time to time so that the Sports Infrastructure Project is always in conformity with the Scope of the Project; (f) undertaking routine maintenance including prompt repairs of ticket counterspotholes, Workshopscracks, Authority's Office joints, structures, buildings, pavement lighting, road signs, electricity lines, telephone lines, water facilities, sewage system and other infrastructure as mentioned in public amenities on the Operation and Maintenance ScheduleSite; (eg) undertaking major maintenance such as per the Maintenance Schedule resurfacing of the major roads, pavements, repairs to structures and buildings including repairs and refurbishment of other infrastructure in the Bus Terminaland Sports Infrastructure Project Facilities; (fh) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Site; (i) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalSite; (gj) protection of the environment and provision of equipment and materials therefortherefor so that the Sports Infrastructure Project is in compliance with Applicable Permits including environmental clearance(s); (hk) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal;Sports Infrastructure Project; and (il) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene in the Bus Terminal. 17.1.2 The Concessionaire shall promptly remove promptly from the Bus Terminal Sports Infrastructure Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Sports Infrastructure Project in a clean, tidy and orderly condition,, and in conformity with the Applicable Laws, Applicable Permits and

For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of, the Damages payable under this Agreement.

Licensee shall keep and maintain the Licensed Space in neat & clean, safe & sound condition by maintaining punctuality it properly at their own cost during the License Period. Licensee shall bear the cost of minor day-to-day repairs, annual refurbishing and reliability routine special repairs required due to normal wear & tear with the efflux of time or due to planning/ constructional defects remained during augmentation of the Licensed Space. Any defective, weak or corroded structure should be replaced immediately with new proper structure after due certification from reputed agency. 11.1.4. Licensee shall ensure that all electrical wiring, power outlets and gadgets used are maintained properly, guarded against short circuits / fires. The instructions of ▇▇▇▇-Metro’s electrical inspectors/ authorized representative shall be complied by the licensee at its own cost. 11.1.5. Licensee shall ensure that fire detection and suppression measures installed inside their premises are kept in operating good working condition at all times. The Fire extinguishers must be regularly checked & refilled and must be visible & easily accessible at all times of emergency. The Licensee’s staff must be capable of addressing the Bus Terminal; andsafety issues during any emergency including operation of fire extinguisher. (m) maintaining a high standard 11.1.6. In case of cleanliness accident caused due to negligence of the Licensee resulting into injury/ death to Maha-Metro employees/ other users/ any person or loss to Maha-Metro property, Licensee shall compensate the loss(es), pay compensation without prejudice to other actions under this Agreement at the sole discretion of Maha-Metro, including termination of Agreement, and hygiene licensee will be blacklisted for the period of three years for participating in the Bus Terminaltenders of Maha-Metro. 17.1.2 11.1.7. The Concessionaire Licensee voluntarily and unequivocally agrees not to seek any claims, damages, compensation or any other consideration whatsoever because of implementing the instruction issued by Maha-Metro fire officer, electrical inspector, Security officer or their authorized representatives from time to time. 11.1.8. The overall control and supervision of the premises shall remove promptly from remain vested with Maha-Metro who shall have right to inspect the Bus Terminal whole or part of the licensed spaces as and when considered necessary, with respect to its bonafide use and in connection with fulfillment of the other terms and conditions of the license agreement. 11.1.9. The Licensee voluntarily and unequivocally agrees to provide un-fettered access to the fire officer & other officials of Maha-Metro for inspection of Licensed Space or for repair of Maha- Metro utilities passing through the Licensed Space at any time and to abide by and comply with all surplus construction machinery instructions as may be indicated by the fire officer & other officials. If any fixtures or utility relating to operation of the MRTS (Metro) is running through the licensed area, proper protection as advised by Maha-Metro shall be done by Licensee. 11.1.10.
