Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) Carrying out periodic preventive maintenance of the Project; (d) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (g) Preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; (h) Protection of the environment and provision of equipment and materials thereof; (i) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project;

The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use flow of traffic on the ProjectPort, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Port by providing a rapid and effective response and maintaining liaison with emergency services of the Authority and the State; (cd) Carrying carrying out periodic preventive maintenance of the ProjectPort; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, pavement markings, lighting, signage road signs and other traffic control devices; (ef) Undertaking undertaking major maintenance of the Port such as resurfacingresurfacing of pavements, repairs to structures, and repairs and refurbishment of system and the equipment; (fg) Preventingoperation and maintenance of all Project Equipment diligently and efficiently and in accordance with Good Industry Practice; (h) preventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectPort; (gi) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized unauthorised entry to the ProjectPort; (hj) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ik) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Port and for providing safe, smooth and uninterrupted use flow of traffic on the Port; (l) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; and (m) complying with Safety Requirements in accordance with Article 18. 17.1.2 Without prejudice to the provisions of Clause 17.1.1, the obligations of the ProjectConcessionaire shall, in respect of handling of Containers, include: (a) ship-to-shore transfer operations, including lifting of hatch covers and lashing or unlashing of Containers; (b) ship-to-ship transfer operations for and in respect of Containers; (c) stacking and un-stacking of Containers; (d) transfer of Containers within the Port; (e) delivery and receipt for shipment of Containers; (f) de-stuffing and delivery of Containers which are LCL (Less than Container Load) or receipt and stuffing of export cargo in Containers; (g) operation and maintenance of systems and services for the prevention, monitoring and detection of fire, including the appointment of a trained fire officer, and availability of fire alarm appliances and fire fighting equipment in accordance with Applicable Laws and Applicable Permits; (h) inventory control of all Containers, chassis and other assets at the Port; (i) operation and maintenance of communication with and reporting to shipping lines, agents and other users; (j) garbage and water disposal in accordance with Applicable Laws; (k) adherence to all applicable and relevant rules and regulations of IMO, in relation to land side operations and, in particular:

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use driving tests for intending applicants (Users) for issue of Driving license 2-Wheelers and 3/4 Wheelers on the Project, including prevention of loss or damage thereto, Project Sites during normal operating conditions; (b) Minimizing collecting and appropriating the User Fee from the Users of the Project Sites; (c) minimising disruption to intending applicants (Users) for driving license in the event of accidents or other incidents affecting the safety of intending applicant (Users) and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the Project; (de) undertaking routine maintenance including prompt repairs repairs/ replacement of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all Electrical works/ services and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipmentelectronic equipments; (f) Preventingundertaking routine maintenance including prompt repairs/ replacement of all computer hardware, networking and software works etc; (g) provide requisite manpower for IT and other project related work and security personnel, at each of the Project Site for smoothing operation and monitoring of the Project; (h) conduct driving tests and hand over the test results to the intending applicants (Users) appearing for the tests after prior approval from the designated personnel of the Government, stationed at the Project Site; (i) transfer the test data results as per the specified formats, to the server provided by the Concessioning Authority at each RTO office. The backup of these data shall also be stored on an external storage device like DVD/ HDD. The test results shall also be entered and integrated into SARATHI database; (j) develop a website for providing online appointment to the intending applicant (User) for driving test. The User shall enter his/ her learning license number in the website and shall get the date and time for driving test. The website shall be compatible and integrated with SARATHI software at all RTOs. Result of the driving test shall also be uploaded on the website and can be seen by the User; (k) install multiple High definition cameras with inbuilt applications &CCTVs, at such locations/ angles of the Project Sites, wherein the test performances and capability of the User can be viewed clearly; (l) ensure that the software system installed at each Project Site has a single sign mechanism with second factor biometric authentication, wherein the approval shall be done by the designated personnel stationed at the Project Site through the use of his/ her biometric; (m) ensure to generate the test reports as per the requirement of the Concessioning Authority and as has been provided by the Concessioning Authority from time to time. However, the said reports shall include date wise list of intending applicants (Users) appeared for the Driving Tests; date wise details of the Users passed in the driving tests along with their marks; date wise details of Users failed in the driving tests along with their marks etc; (n) ensure to provide the internet connectivity at each Project Site and shall pay the bills on timely basis; (o) ensure, at all times, that the recording of the High definition cameras with inbuilt applications &CCTV camera and display can be viewed on the network and also, by the individual RTO office; (p) ensure to have sufficient stock of spares, at each Project Site and any default/ fault is attended/ rectified/ carried out immediately for smooth functioning of the system; (q) ensure to repair or replace any part required to be changed due to normal wear and tear. The frequency of inspection by the Government official shall depend on the type of equipment and recommended by the manufacturer; (r) ensure to have trained and appropriately skilled personnel for conducting driving tests. The Concessionaire shall be liable for all the activities of the personnel deployed by him; (s) ensure to abide by the provisions of the Central & State labour welfare legislations like The Minimum Wages Act, 1948; The Employees State Insurance Act, 1948; and other similar legislations, rules and orders as issued from time to time. (t) ensure that no malpractices/ overcharging/ harassment by any of the employees of the Concessionaire. In the event of malpractices/ overcharging/ harassment is found or reported by/ to the Concessioning Authority, at any time during the subsistence of the Concession Period, then the Concessionaire shall be liable to take remedial measures as per the existing law of land. (u) preventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectProject Sites; (gv) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Sites; (hw) Protection protection of the environment and provision of equipment and materials thereof; (ix) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; 17.1.2 The Concessionaire shall remove promptly from the Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Site(s) in a clean, tidy and order condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice.

The obligations of the Concessionaire Mine Operator hereunder shall include: (a) Procuring and ensuring safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the ProjectMines, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing undertaking operation and maintenance of the Mines in an efficient, coordinated and economical manner, in compliance with Applicable Laws and Standard Industry Practice; (c) procuring that the Overburden is removed and deposited in accordance with the provisions of this Agreement; (d) minimising disruption to operation of the Mines in the event of accidents or other incidents affecting the safety and use operation of the Project Mines by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) Carrying carrying out periodic preventive maintenance of the ProjectMines; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all components of the Mines and other control devices; (e) Undertaking major maintenance such Equipment so as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, ensure compliance with the assistance of concerned law enforcement agencies, any unauthorized use of Maintenance Requirements and the ProjectSpecifications and Standards; (g) Preventingundertaking major maintenance of Equipment and installations; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized unauthorised entry to the ProjectSite; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Mines and Equipment and for providing safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the Mines; (k) maintaining a public relations unit for interface with and attend to suggestions from Project Affected Persons, government agencies, media and other agencies; (l) complying with Safety Requirements in accordance with Article 17; (m) operation and maintenance of all Project Assets and Project Facilities diligently and efficiently and in accordance with Standard Industry Practice; and (n) maintaining reliability in operating the Mines and Delivery of Coal. 16.1.2 The Mine Operator shall remove all Overburden excavated during the course of development and operations of the Project;Mines in accordance with Applicable Laws, Standard Industry Practice and the provisions of this Agreement. 16.1.3 The Mine Operator shall promptly remove from the Mines, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Mines in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits and Standard Industry Practice. 16.1.4 The Mine Operator shall maintain, in conformity with Standard Industry Practice, all stretches of roads and other structures situated on the Site. 16.1.5 If the Mine Operator fails to comply with any directions issued by a Government Instrumentality, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Mine Operator, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of, the Damages payable under this Agreement.

Operation and Maintenance. 17.1 O&M ‌ 14.1 O &M obligations of the ConcessionaireConcessionaire‌ 17.1.1 During 14.1. 1During the Operation Period, the Concessionaire shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M O & M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring permitting and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing collecting and appropriating the User Charges (c) undertaking routine maintenance including prompt repairs; (d) all enclosures and facilities shall be made of materials, which facilitate proper and easy cleaning, disinfection and shall be maintained in good condition as part of regular maintenance program; (e) minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) Carrying out periodic preventive maintenance of the Project; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (fg) Preventingalarms for fire, security, and other safety alerts must be in place and in working order. Routine maintenance records shall be kept, detailing safety checks of the equipment; (h) preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (gi) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; (hj) Protection protection of the environment and provision of equipment and materials thereof; (ik) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; (l) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; (m) Maintaining sidewalks and roads; and (n) Complying with Safety Requirements in accordance with Article 18.
