Common use of Operation and Maintenance Clause in Contracts

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) Carrying out periodic preventive maintenance of the Project; (d) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (g) Preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; (h) Protection of the environment and provision of equipment and materials thereof; (i) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project;

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project Port in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Port to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use flow of traffic on the ProjectPort, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Port by providing a rapid and effective response and maintaining liaison with emergency services of the Authority and the State; (cd) Carrying carrying out periodic preventive maintenance of the ProjectPort; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, pavement markings, lighting, signage road signs and other traffic control devices; (ef) Undertaking undertaking major maintenance of the Port such as resurfacingresurfacing of pavements, repairs to structures, and repairs and refurbishment of system and the equipment; (fg) Preventingoperation and maintenance of all Project Equipment diligently and efficiently and in accordance with Good Industry Practice; (h) preventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectPort; (gi) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized unauthorised entry to the ProjectPort; (hj) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ik) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Port and for providing safe, smooth and uninterrupted use flow of traffic on the Port; (l) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; and (m) complying with Safety Requirements in accordance with Article 18. 17.1.2 Without prejudice to the provisions of Clause 17.1.1, the obligations of the ProjectConcessionaire shall, in respect of handling of Containers, include: (a) ship-to-shore transfer operations, including lifting of hatch covers and lashing or unlashing of Containers; (b) ship-to-ship transfer operations for and in respect of Containers; (c) stacking and un-stacking of Containers; (d) transfer of Containers within the Port; (e) delivery and receipt for shipment of Containers; (f) de-stuffing and delivery of Containers which are LCL (Less than Container Load) or receipt and stuffing of export cargo in Containers; (g) operation and maintenance of systems and services for the prevention, monitoring and detection of fire, including the appointment of a trained fire officer, and availability of fire alarm appliances and fire fighting equipment in accordance with Applicable Laws and Applicable Permits; (h) inventory control of all Containers, chassis and other assets at the Port; (i) operation and maintenance of communication with and reporting to shipping lines, agents and other users; (j) garbage and water disposal in accordance with Applicable Laws; (k) adherence to all applicable and relevant rules and regulations of IMO, in relation to land side operations and, in particular:

The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use flow of traffic on the Project, including prevention of loss or damage thereto, Project Highway during normal operating conditions; (b) Minimizing collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Highway by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the ProjectProject Highway; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, pavement markings, lighting, signage road signs and other traffic control devices; (ef) Undertaking undertaking major maintenance such as resurfacingresurfacing of pavements, repairs to structures, and repairs and refurbishment of tolling system and other equipment; (fg) Preventingpreventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectProject Highway; (gh) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Highway; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefore; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Highway; (k) maintaining a public relations unit to interface with and for providing safeattend to suggestions from the Users, smooth government agencies, media and uninterrupted use other agencies; and (l) complying with Safety Requirements in accordance with Article 18. 17.1.2 The Concessionaire shall remove promptly from the Project Highway all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Highway in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at **** 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads, over-passes, under-passes or other structures situated on the Site but not forming part of the Project;carriageway.

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project excluding regulating the operations of the Buses, in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring Permitting and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; (b) collecting and appropriating the Fee; (c) Minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying out periodic preventive maintenance of the Project; (de) undertaking Undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage for keeping the Project and other control devicesthe Project Facilities in good health; (ef) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and the equipment; (fg) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (gh) Preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; (hi) Protection of the environment and provision of equipment and materials thereof; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; (k) Maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; and (l) Complying with Safety Requirements in accordance with Article 18. 17.1.2 The Concessionaire shall remove promptly from the Project Site, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable

Operation and Maintenance. 17.1 O&M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project Hospital in accordance with this Agreement either by itself, or and/or through an O&M Contractor, subject to the O&M Contractor provisions of Clause 5.2.7, and if required, modify, repair or otherwise make improvements to the Project Hospital to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use treatment and care of Patients in the Project, including prevention of loss or damage thereto, Hospital during normal operating conditions; (b) Minimizing subject to Clauses 21.2(f), 13.4 and 17.4, making the Hospital available for use round the clock 24 (twenty four) hours a day and 365 (three hundred and sixty five) or 366 (three hundred and sixty six) days a year during the Concession Period and meeting the KPIs, service level requirements as specified in this Agreement, each in accordance with Good Industry Practice, Applicable Permits and Applicable Laws; (c) collecting and appropriating the Fees from Patients or from the Authority or an Insurer (as the case may be) in accordance with the terms of this Agreement; (d) minimising disruption to Patient care in the event of accidents or other incidents affecting the safety and use of the Project Hospital by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) Carrying carrying out periodic preventive maintenance of the ProjectHospital; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage the Hospital including its structures and other control devicesEquipment; (eg) Undertaking undertaking routine maintenance including prompt repairs of the Project Facilities; (h) undertaking major maintenance such as resurfacingrepair or replacement of equipment, repairs to structures, and repairs and refurbishment of system HMIS and equipmentcommunication system; (fi) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (g) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectHospital; (hj) Protection protection of the environment and provision of equipment and materials thereof; (ik) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Hospital; (l) maintaining a public relations unit to interface with and attend to suggestions from the Patients, visitors, staff, government agencies, media and other agencies; (m) complying with Safety Requirements in accordance with Article 18 and L&FS Standards; (n) operation and maintenance of all Project Assets diligently and for efficiently and in accordance with Good Industry Practice; (o) maintaining punctuality and reliability in operating the Hospital; (p) maintaining a high standard of cleanliness and hygiene in the Hospital; (q) operating and maintaining the Beds, the Equipment and HMIS in accordance with the provision of this Agreement; (r) providing safeHealthcare Services in accordance with the provisions of this Agreement; (s) complying with environmental and social management plan under Clause 5.10.2; (t) adhering to the requirements of Clause 5.10; (u) providing and maintaining adequate parking space in accordance with Good Industry Practice and this Agreement; and (v) appointing and retaining the Human Resource requirements in accordance with the provisions of this Agreement. 17.1.2 The Concessionaire shall ensure that immediate medical aid is provided to all Patients, smooth and uninterrupted use including Medico-Legal Cases. 17.1.3 The Authority may, any time after the COD of Phase – I, require the participation of the Project;Hospital in the implementation of health programmes run by the GOI or the State Government, subject to payment of mutually agreed compensation to the Concessionaire for participating in such programmes. 17.1.4 The Concessionaire shall remove promptly from the Hospital all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other waste (including, without limitation, hospital disposals) and keep the Hospital in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits and

The obligations of the Concessionaire hereunder regarding the operation and maintenance shall include:include the following and as more specifically detailed in Schedule K (“O&M Requirements”): (a) Procuring undertaking operation and ensuring safe, smooth and uninterrupted use maintenance of the Project, including prevention of loss or damage theretocoordinated and economical manner, during normal operating conditionsin compliance with the Specification and Standards; (b) Minimizing disruption in the event of accidents or other incidents affecting the safety undertaking operation and use maintenance of the Project by providing a rapid in accordance with the Specification and effective response Standards, to ensure that the Concessionaire is able to optimally use the Project and maintaining liaison with emergency services of the StateProject Assets during the Operation Period; (c) Carrying carrying out periodic preventive maintenance of the Project; (d) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all elements and other control devicescomponents of the Project so as to ensure compliance with the O&M Requirements and the Specification and Standards; (e) Undertaking undertaking major maintenance such as resurfacingmaintenance, replacement of components and parts, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use subsystems for part of the Project; (gf) Preventing, providing round the clock security at the Project Site and preventing with the assistance of the concerned law enforcement agencies, any encroachments on, on or unauthorized authorised entry to on the ProjectProject Site; (hg) Protection protection of the environment and provision of equipment and materials thereofin accordance with the provisions of this Agreement; (ih) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation and maintenance of the Project in accordance with the provisions of this Agreement; and (i) complying with the EHS Requirements at all times during the Operation Period. 17.1.2 The Concessionaire shall remove promptly from the Project Site all surplus construction machinery and for providing safematerials, smooth waste materials (including hazardous materials and uninterrupted use waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Site in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits, Good Industry Practice and the provisions of this Agreement. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice and Applicable Laws and Applicable Permits, all stretches of approach roads, or other structures situated on the Project;Project Site.

Operation and Maintenance. 17.1 18.1 O&M obligations of the Concessionaire 17.1.1 18.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, Project Facilities during normal operating conditions; (b) Minimizing collecting and appropriating the revenues; c) minimizing disruption in the event of accidents or other incidents incidents- affecting the safety and use of the Project Facilities by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the Project; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage signs and other control devices; (ef) Undertaking undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of parking system and other equipment; (fg) Preventingpreventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (gh) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Site; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; k) complying with Safety Requirements in accordance with Article 19; l) make all necessary payments in time bound manner to the Authority such as Concession Fee or any other payment to comply with the provisions of this Agreement; m) make all necessary/ applicable and time bound utilities payments and taxes to all Central and State Government utilities; 18.1.2 The Concessionaire shall remove promptly from the Project Site all surplus construction machinery and materials, waste materials (including hazardous materials and wastewater), rubbish, debris (including, without limitation, accident debris) and keep the Project in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits and Good Industry Practice.

For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at the location identified by the Authority and/or Independent Engineer. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads.

The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use driving tests for intending applicants (Users) for issue of Driving license 2-Wheelers and 3/4 Wheelers on the Project, including prevention of loss or damage thereto, Project Sites during normal operating conditions; (b) Minimizing collecting and appropriating the User Fee from the Users of the Project Sites; (c) minimising disruption to intending applicants (Users) for driving license in the event of accidents or other incidents affecting the safety of intending applicant (Users) and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the Project; (de) undertaking routine maintenance including prompt repairs repairs/ replacement of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all Electrical works/ services and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipmentelectronic equipments; (f) Preventingundertaking routine maintenance including prompt repairs/ replacement of all computer hardware, networking and software works etc; (g) provide requisite manpower for IT and other project related work and security personnel, at each of the Project Site for smoothing operation and monitoring of the Project; (h) conduct driving tests and hand over the test results to the intending applicants (Users) appearing for the tests after prior approval from the designated personnel of the Government, stationed at the Project Site; (i) transfer the test data results as per the specified formats, to the server provided by the Concessioning Authority at each RTO office. The backup of these data shall also be stored on an external storage device like DVD/ HDD. The test results shall also be entered and integrated into SARATHI database; (j) develop a website for providing online appointment to the intending applicant (User) for driving test. The User shall enter his/ her learning license number in the website and shall get the date and time for driving test. The website shall be compatible and integrated with SARATHI software at all RTOs. Result of the driving test shall also be uploaded on the website and can be seen by the User; (k) install multiple High definition cameras with inbuilt applications &CCTVs, at such locations/ angles of the Project Sites, wherein the test performances and capability of the User can be viewed clearly; (l) ensure that the software system installed at each Project Site has a single sign mechanism with second factor biometric authentication, wherein the approval shall be done by the designated personnel stationed at the Project Site through the use of his/ her biometric; (m) ensure to generate the test reports as per the requirement of the Concessioning Authority and as has been provided by the Concessioning Authority from time to time. However, the said reports shall include date wise list of intending applicants (Users) appeared for the Driving Tests; date wise details of the Users passed in the driving tests along with their marks; date wise details of Users failed in the driving tests along with their marks etc; (n) ensure to provide the internet connectivity at each Project Site and shall pay the bills on timely basis; (o) ensure, at all times, that the recording of the High definition cameras with inbuilt applications &CCTV camera and display can be viewed on the network and also, by the individual RTO office; (p) ensure to have sufficient stock of spares, at each Project Site and any default/ fault is attended/ rectified/ carried out immediately for smooth functioning of the system; (q) ensure to repair or replace any part required to be changed due to normal wear and tear. The frequency of inspection by the Government official shall depend on the type of equipment and recommended by the manufacturer; (r) ensure to have trained and appropriately skilled personnel for conducting driving tests. The Concessionaire shall be liable for all the activities of the personnel deployed by him; (s) ensure to abide by the provisions of the Central & State labour welfare legislations like The Minimum Wages Act, 1948; The Employees State Insurance Act, 1948; and other similar legislations, rules and orders as issued from time to time. (t) ensure that no malpractices/ overcharging/ harassment by any of the employees of the Concessionaire. In the event of malpractices/ overcharging/ harassment is found or reported by/ to the Concessioning Authority, at any time during the subsistence of the Concession Period, then the Concessionaire shall be liable to take remedial measures as per the existing law of land. (u) preventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectProject Sites; (gv) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Sites; (hw) Protection protection of the environment and provision of equipment and materials thereof; (ix) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; 17.1.2 The Concessionaire shall remove promptly from the Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Site(s) in a clean, tidy and order condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice.

Operation and Maintenance. 17.1 O&M O& M obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project Highway in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Highway to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use flow of traffic on the Project, including prevention of loss or damage thereto, Project Highway during normal operating conditions; (b) Minimizing collecting and appropriating the Fee (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Highway by providing a rapid and effective response and maintaining liaison with emergency services of the Statestate; (cd) Carrying carrying out periodic preventive maintenance of the ProjectProject Highway; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markingspavement marking, lightinglighting , signage road signs and other traffic control devices; (ef) Undertaking undertaking major maintenance such as resurfacingresurfacing of pavements , repairs to structures, structures and repairs and refurbishment of tolling system and other equipment; (fg) Preventingpreventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectProject Highway; (gh) Preventing, preventing with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Highway; including the site; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefore; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Highway; (k) maintaining a public relations unit to interface with and for providing safeattend to suggestions from the Users, smooth government agencies, media and uninterrupted use of other agencies, and (l) complying with Safety Requirements in accordance with Article 18. 17.1.2 The Concessionaire shall remove promptly from the Project;Project Highway all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Highway in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and

The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use flow of traffic on the Project, including prevention of loss or damage thereto, Project Highway during normal operating conditions; (b) Minimizing allowing and assisting GOTN, HD or GOTN, HD Contractor(s) in collecting and appropriating the Fee; (c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Project Highway by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the ProjectProject Highway; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, pavement markings, lighting, signage road signs and other traffic control devices; (ef) Undertaking undertaking major maintenance such as resurfacingresurfacing of pavements, repairs to structures, and repairs and refurbishment of system and equipmentequipments; (fg) Preventingpreventing, with the assistance of concerned law enforcement agencies, any unauthorized unauthorised use of the ProjectProject Highway; (gh) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to on the ProjectProject Highway; including the Site; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Highway; (k) maintaining a public relations unit to interface with and for providing safeattend to suggestions from the Users, smooth government agencies, media and uninterrupted use other agencies; (l) complying with Safety Requirements in accordance with Article 18; and (m) ensuring proper drainage in Central Strip 17.1.2 The Concessionaire shall remove promptly from the Project Highway all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project Highway in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads, over-passes, under-passes or other structures situated on the Site but not forming part of the Project;carriageway.

Operation and Maintenance. 17.1 ‌ 16.1 O&M obligations of the ConcessionaireMine Operator‌ 17.1.1 16.1.1 During the Operation Contract Period, the Concessionaire Mine Operator shall operate and maintain the Mines, Equipment and Project Facilities in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Mines and Equipment to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to the Specifications and Standards and Good Standard Industry Practice. The Mine Operator or the O&M Contractor can operate and maintain the Mines with leased Equipment, provided that the Specifications and Standards are in conformity with Schedule-D and the Equipment are maintained in conformity with the Maintenance Requirements. The obligations of the Concessionaire Mine Operator hereunder shall include: (a) Procuring and ensuring safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the ProjectMines, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing undertaking operation and maintenance of the Mines in an efficient, coordinated and economical manner, in compliance with Applicable Laws and Standard Industry Practice; (c) procuring that the Overburden is removed and deposited in accordance with the provisions of this Agreement; (d) minimising disruption to operation of the Mines in the event of accidents or other incidents affecting the safety and use operation of the Project Mines by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) Carrying carrying out periodic preventive maintenance of the ProjectMines; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all components of the Mines and other control devices; (e) Undertaking major maintenance such Equipment so as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, ensure compliance with the assistance of concerned law enforcement agencies, any unauthorized use of Maintenance Requirements and the ProjectSpecifications and Standards; (g) Preventingundertaking major maintenance of Equipment and installations; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized unauthorised entry to the ProjectSite; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Mines and Equipment and for providing safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the Mines; (k) maintaining a public relations unit for interface with and attend to suggestions from Project Affected Persons, government agencies, media and other agencies; (l) complying with Safety Requirements in accordance with Article 17; (m) operation and maintenance of all Project Assets and Project Facilities diligently and efficiently and in accordance with Standard Industry Practice; and (n) maintaining reliability in operating the Mines and Delivery of Coal. 16.1.2 The Mine Operator shall remove all Overburden excavated during the course of development and operations of the Project;Mines in accordance with Applicable Laws, Standard Industry Practice and the provisions of this Agreement. 16.1.3 The Mine Operator shall promptly remove from the Mines, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Mines in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits and Standard Industry Practice. 16.1.4 The Mine Operator shall maintain, in conformity with Standard Industry Practice, all stretches of roads and other structures situated on the Site. 16.1.5 If the Mine Operator fails to comply with any directions issued by a Government Instrumentality, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Mine Operator, and shall not be claimed from the Authority. For the avoidance of doubt, payment of any penalty under the provisions of Applicable Laws shall be in addition to, and independent of, the Damages payable under this Agreement.

Operation and Maintenance. 17.1 O&M obligations Obligations of the Concessionaire 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project and Project Facilities in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Facilities to comply with the provisions of this Agreement, Applicable Laws and Laws, Applicable Permits, and conform to Specifications and Standards and in conformity with Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) Procuring and ensuring permitting safe, smooth and uninterrupted use access for visitors to the Project Site and operation of the Project, including prevention of loss or damage theretosame, during normal operating conditions; (b) Minimizing demanding, collecting and appropriating the Tariff/ User Charges in accordance with the provisions set out in this Agreement; (c) minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project Facility by providing a rapid and effective response and maintaining liaison with emergency services of the State; (cd) Carrying carrying out periodic preventive maintenance of the Project; (de) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage essential for keeping the Project and other control devices; (e) the Project Facilities in good health. Undertaking major maintenance such as resurfacingas: • visual inspection for deterioration of the foundation or possible deterioration of the supporting ground; • inspection of the various civil structures and effective water-proofing; • testing of the electrical equipment’s, repairs to structures, metal components for corrosion and repairs and refurbishment of system and equipment;cracking using non-destructive testing or other appropriate test systems; • preparing a detailed operation & maintenance schedule in consultation with the Authority. (f) Preventing, preventing with the assistance of concerned law enforcement agencies, any unauthorized use or encroachments of the Project, including the Site; (g) Preventing, with the assistance protection of the concerned law enforcement agencies, any encroachments on, or unauthorized entry environment and ensure that no harm is caused to the Projectecology of the surrounding area due to activities being carried out at the Project Facility; (h) Protection of the environment and provision of equipment and materials thereof; (i) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; and (k) ensuring zero discharge in the dam reservoir. 17.1.2 The Concessionaire shall remove promptly from the Project Facility all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris and keep the Project Facility in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice.

Operation and Maintenance. 17.1 O&M obligations In case of the Concessionaire 17.1.1 During the Operation PeriodConcession granted on BOT basis, the Concessionaire shall operate and maintain the Project/ Project in accordance with this Agreement either Facility by itself, or through the O&M a Contractor and if required, modify, repair or otherwise make improvements to the Project/ Project Facility to comply with the provisions of Specifications and Standards, and other requirements set forth in this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice, Applicable Laws, Applicable Permits and international associations‟ for the respective sport and manufacturers‟ guidelines & instructions with respect to the flooring, equipment etc. The obligations of More specifically, the Concessionaire hereunder shall includebe responsible for: (ai) Procuring and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, sports operations during normal operating conditions; (bii) Minimizing charging, collecting and appropriating Fee in accordance with this Agreement; (iii) minimizing disruption to users in the event of accidents or other incidents affecting the safety and use of the Project/ Project Facility by providing a rapid and effective response and for this purpose maintaining liaison with emergency services of the Stateservices; (c) Carrying out periodic preventive maintenance of the Project; (div) undertaking routine maintenance including prompt repairs and replacement of nets, flooring, sports lighting, sports equipment, potholes, cracks, concrete joints, drains, embankmentsline marking, structures, markings, lighting, signage lighting and other control devicessignage; (ev) Undertaking major undertaking maintenance such as resurfacing, repairs to structures, works in accordance with Maintenance Manual and repairs and refurbishment of system and equipmentthe Maintenance Programme; (fvi) Preventing, preventing with the assistance of concerned law enforcement agenciesagencies where necessary, any unauthorized use of unauthorised entry to and exit from the Project; (gvii) Preventing, preventing with the assistance of the concerned law enforcement agenciesagencies where necessary, any encroachments on, or unauthorized entry to on the Project/ Project Site and preserving the right of way of the Project; (hviii) Protection of adherence to the environment and provision of equipment and materials thereof; (i) operation and maintenance of safety standards applicable under all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project;relevant laws.

Operation and Maintenance. 17.1 O&M obligations In case of the Concessionaire 17.1.1 During the Operation PeriodConcession granted on BOT/DBOT basis, the Concessionaire shall operate and maintain the Project/ Project in accordance with this Agreement either Facility by itself, or through the O&M a Contractor and if required, modify, repair or otherwise make improvements to the Project/ Project Facility to comply with the provisions of Specifications and Standards, and other requirements set forth in this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice, Applicable Laws, Applicable Permits and international associations‟ for the respective sport and manufacturers‟ guidelines & instructions with respect to the flooring, equipment etc. The obligations of More specifically, the Concessionaire hereunder shall includebe responsible for: (ai) Procuring and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, sports operations during normal operating conditions; (bii) Minimizing charging, collecting and appropriating Fee in accordance with this Agreement; (iii) minimizing disruption to users in the event of accidents or other incidents affecting the safety and use of the Project/ Project Facility by providing a rapid and effective response and for this purpose maintaining liaison with emergency services of the Stateservices; (c) Carrying out periodic preventive maintenance of the Project; (div) undertaking routine maintenance including prompt repairs and replacement of nets, flooring, sports lighting, sports equipment, potholes, cracks, concrete joints, drains, embankmentsline marking, structures, markings, lighting, signage lighting and other control devicessignage; (ev) Undertaking major undertaking maintenance such as resurfacing, repairs to structures, works in accordance with Maintenance Manual and repairs and refurbishment of system and equipmentthe Maintenance Programme; (fvi) Preventing, preventing with the assistance of concerned law enforcement agenciesagencies where necessary, any unauthorized use of unauthorised entry to and exit from the Project; (gvii) Preventing, preventing with the assistance of the concerned law enforcement agenciesagencies where necessary, any encroachments on, or unauthorized entry to on the Project/ Project Site and preserving the right of way of the Project; (hviii) Protection of adherence to the environment and provision of equipment and materials thereof; (i) operation and maintenance of safety standards applicable under all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project;relevant laws.

Operation and Maintenance. 17.1 ‌ 16.1 O&M obligations of the ConcessionaireMine Operator‌ 17.1.1 16.1.1 During the Operation Period, the Concessionaire Mine Operator shall operate and maintain the Project Mines and Equipment in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project Mines and Equipment to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to the Specifications and Standards and Good Standard Industry Practice. The Mine Operator or the O&M Contractor can operate and maintain the Mines with leased Equipment, provided that the Specifications and Standards are in conformity with Schedule D and the Equipment are maintained in conformity with the Maintenance Requirements. The obligations of the Concessionaire Mine Operator hereunder shall include: (a) Procuring and ensuring safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the ProjectMines, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing undertaking operation and maintenance of the Mines in an efficient, coordinated and economical manner, in compliance with Applicable Laws and Standard Industry Practice; (c) procuring that the Overburden is removed and deposited in accordance with the provisions of this Agreement; (d) minimising disruption to operation of the Mines in the event of accidents or other incidents affecting the safety and use operation of the Project Mines by providing a rapid and effective response and maintaining liaison with emergency services of the State; (ce) Carrying carrying out periodic preventive maintenance of the ProjectMines; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage all components of the Mines and other control devices; (e) Undertaking major maintenance such Equipment so as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (f) Preventing, ensure compliance with the assistance of concerned law enforcement agencies, any unauthorized use of Maintenance Requirements and the ProjectSpecifications and Standards; (g) Preventingundertaking major maintenance of Equipment and installations; (h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized unauthorised entry to the ProjectSite; (hi) Protection protection of the environment and provision of equipment and materials thereoftherefor; (ij) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project Mines and Equipment and for providing safe, smooth and uninterrupted use excavation of Coal and Delivery thereof from the Mines; (k) maintaining a public relations unit to interface with and attend to suggestions from Project Affected Persons, government agencies, media and other agencies; (l) complying with Safety Requirements in accordance with Article 17; (m) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Standard Industry Practice; and (n) maintaining reliability in operating the Mines and Delivery of Coal. 16.1.2 The Mine Operator shall remove all Overburden excavated during the course of development and operations of the Project;Mines in accordance with Applicable Laws, Standard Industry Practice and the provisions of this Agreement. 16.1.3 The Mine Operator shall remove promptly from the Mines, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Mines in a clean, tidy and orderly condition, and in conformity with Applicable Laws, Applicable Permits and Standard Industry Practice. 16.1.4 The Mine Operator shall maintain, in conformity with Standard Industry Practice, all stretches of roads and other structures situated on the Site. 16.1.5 If the Mine Operator fails to comply with any directions issued by a statutory authority, and is liable to pay a penalty under the provisions of Applicable Laws, such penalty shall be borne solely by the Mine Operator, and shall not be claimed from the Authority. The obligations of the Concessionaire hereunder shall include: (a) Procuring permitting and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; (b) Minimizing collecting and appropriating the User Charges (c) undertaking routine maintenance including prompt repairs; (d) all enclosures and facilities shall be made of materials, which facilitate proper and easy cleaning, disinfection and shall be maintained in good condition as part of regular maintenance program; (e) minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) Carrying out periodic preventive maintenance of the Project; (df) undertaking routine maintenance including prompt repairs of potholes, cracks, joints, drains, embankments, structures, markings, lighting, signage and other control devices; (e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; (fg) Preventingalarms for fire, security, and other safety alerts must be in place and in working order. Routine maintenance records shall be kept, detailing safety checks of the equipment; (h) preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; (gi) Preventingpreventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; (hj) Protection protection of the environment and provision of equipment and materials thereof; (ik) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; (l) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; (m) Maintaining sidewalks and roads; and (n) Complying with Safety Requirements in accordance with Article 18.
