Common use of Operation of the Gateway Clause in Contracts

Operation of the Gateway. (a) The IT Vendor must not, and must use its reasonable endeavours to ensure that each Relevant Business and each Authorised User does not, attempt to access the Gateway by any means other than in a manner consistent with that Accepted for the IT Vendor’s Gateway Interface in accordance with clause 6. (b) The IT Vendor must: (1) do everything reasonably necessary to prevent any unauthorised operation, modification or use of the Gateway; (2) not attempt to bypass any security measures within the Gateway; and (3) do everything reasonably necessary to protect the Gateway from misuse. (c) The IT Vendor must not allow any third party, other than a Relevant Business, to access or use the Gateway without eRx’ prior written approval which approval eRx shall not unreasonably withhold.
