Operation of Transmission System. Pursuant to the terms of this Agreement, upon the consummation of the Transfer Transaction, ITC shall be responsible for operating the Transmission System (including all End-Use Facilities as defined herein) in order to provide all Transmission Customers with safe, efficient, reliable, and non-discriminatory transmission service pursuant to terms and conditions set forth in the ITC OATT. As more fully set forth in the Operating Protocols attached hereto as Appendix 1, such operation shall be in accordance with Good Utility Practices and shall conform to the applicable reliability requirements of NERC, ECAR or other regional reliability councils, or any successor organizations, and all applicable requirements of federal or state laws or Regulatory Authorities. ITC shall establish reliability guidelines or procedures necessary to implement and comply with the applicable reliability requirements. As further detailed in Appendix 1, ITC shall assume the following operational responsibilities from Detroit Edison:
Operation of Transmission System. Pursuant to the terms of this Agreement, upon the consummation of the Transfer Transaction, Michigan Transco shall be responsible for operating the Transmission System in order to provide all Transmission Customers with safe, efficient, reliable, and non-discriminatory transmission service pursuant to terms and conditions set forth in the Michigan Transco Transmission Tariffs. As more fully set forth in the Operating Protocols attached hereto as Appendix 1, such operation shall be in accordance with Good Utility Practice and shall conform to the applicable reliability requirements of NERC, ECAR or other regional reliability councils, or any successor organizations, and all applicable requirements of federal or state laws or Regulatory Authorities. As further detailed in Appendix 1, Michigan Transco shall assume the following operational responsibilities from Consumers:
Operation of Transmission System. Subject to clause 2.4(c), TransGrid will use its best endeavours to manage, operate and maintain the Transmission System: (i) in accordance with the requirements of all Applicable Laws and in a manner which is consistent with the Technical Obligations and good electricity industry practice; and (ii) so as to protect and avoid damage to or any other adverse effect upon the Customer's Facilities and the Dedicated Assets which TransGrid knows or ought reasonably know could occur if it does not comply with clause 2.4(a)(i). The Customer and the Dedicated Assets Provider each acknowledge that: (i) the Transmission System forms part of an interconnected electrical system to which the (ii) the behaviour of the interconnected electrical system is dynamic and will vary from moment to moment; (iii) the behaviour of the interconnected electrical system depends on the interaction of all plant and equipment connected (directly or indirectly) to it; (iv) other persons whose plant and equipment is connected (directly or indirectly) can impact the operation, performance and outcomes of the Transmission System and the Services; (v) the Transmission System is subject to an “open access regime” established by the Rules and, accordingly, TransGrid must provide transmission services to other persons in accordance with that regime and this requirement may impact on the provision of the Services by TransGrid under this agreement; and (vi) no guarantee or warranty, either express or implied, is given by TransGrid to the Customer or the Dedicated Assets Provider that the Transmission System will be able to provide the Services at all times. For the avoidance of doubt, nothing in this clause 2.4 constitutes a waiver by TransGrid of, nor an agreement to limit or exclude, any limitation of TransGrid's liability, or immunity of TransGrid from liability, under sections 119 or 120 of the NEL.

  • Provision of transport (a) No allowances, other than those prescribed in clauses 27.8 and 27.10 and in the circumstances described in clause 27.11(b), will be payable on any day on which the Employer provides or offers to provide transport free of charge from the Employee’s home to the place of work and return. (b) Subject to 27.11(c), the allowance prescribed in clause 27.5 will be payable on any day for which the Employer provides a vehicle free of charge to the Employee for a purpose related to their contract of employment, and the Employee is required by the Employer to drive this vehicle from the Employee’s home to their place of work and return. (c) The parties recognise that in some circumstances where the Employer provides a vehicle free of charge to an Employee it will not be appropriate for the Employee to also receive the allowance prescribed in clause 27.5. As such, where the Employer provides a fully fuelled and maintained vehicle to the Employee such that the Employee has reasonable private use of the vehicle, the allowance will not be payable. Any disputes as to the application of this clause may be resolved via the Dispute Resolution Procedure.

  • MAINTENANCE OF TRAFFIC It is the explicit intention of the contract is that safety is the most important consideration. It is understood and agreed that the Contractor shall provide for the free and unobstructed movement of aircraft in the air operations areas of the airport with respect to his/her own operations and the operations of all his/her subcontractors as specified in the subsection titled LIMITATION OF OPERATIONS of Section 80. It is further understood and agreed that the Contractor shall provide for the uninterrupted operations of visual and electronic signals (including power supplies thereto) used in the guidance of aircraft while operating to, from, and upon the airport as specified in the subsection titled CONTRACTOR'S RESPONSIBILITY FOR UTILITY SERVICE AND FACILITIES OF OTHERS in Section 70. With respect to his/her own operations and the operations of all his/her subcontractors, the Contractor shall provide marking, lighting, and other acceptable means of identifying: personnel; equipment; vehicles; storage areas; and any work area or condition that may be hazardous to the operation of aircraft, fire-rescue equipment, or maintenance vehicles at the airport. When the contract requires the maintenance of vehicular traffic on an existing road, street, or highway during the Contractor's performance of work that is otherwise provided for in the contract, plans, and specifications, the Contractor shall keep such road, street, or highway open to all traffic and shall provide such maintenance as may be required to accommodate traffic. The Contractor shall furnish erect, and maintain barricades, warning signs, flagmen, and other traffic control devices in reasonable conformity with the Manual of Uniform Traffic Control Devices for Streets and Highways (published by the United States Government Printing Office), unless otherwise specified herein. The Contractor shall also construct and maintain in a safe condition any temporary connections necessary for ingress to and egress from abutting property or intersecting roads, streets or highways. Unless otherwise specified herein, the Contractor will not be required to furnish snow removal for such existing road, street, or highway. The Contractor shall make his/her own estimate of all labor, materials, equipment, and incidentals necessary for providing the maintenance of aircraft and vehicular traffic as specified in this subsection. The cost of maintaining the aircraft and vehicular traffic specified in this subsection shall not be measured or paid for directly, but shall be included in the various contract items.

  • Out of Scope Services Axon is only responsible to perform the professional services described in the Quote and this Appendix. Any additional professional services are out of scope. The Parties must document scope changes in a written and signed change order. Changes may require an equitable adjustment in the charges or schedule.

  • Department of Transportation Bridge Maintenance employees, when actually climbing the cable stays of the Penobscot Narrows Bridge for inspection and/or repair, shall be compensated at the rate of ten dollars ($10.00) an hour in addition to their regular hourly rate of pay. Employees shall be compensated for a minimum of one (1) hour of such work regardless of the length of the climbing assignment.

  • Connecting Transmission Owner’s Scope of Work and Responsibilities The Connecting Transmission Owner will design, construct, own, operate and maintain all Connecting Transmission Owner’s Interconnection Facilities, except as otherwise stated above and in the Project Specific Specifications. The Connecting Transmission Owner will complete all engineering reviews, field verifications and witness testing, etc. in accordance with the ESBs and the Project Specific Specifications. Connecting Transmission Owner shall provide the revenue metering CT/PT units and meter socket enclosure. The Connecting Transmission Owner shall: • provide, run, and wire both ends of the color-coded cable for the revenue metering instrument transformer secondary wiring; • perform all terminations; and • supply and install the meter. The revenue meter may require a communications link to the RTU. The Connecting Transmission Owner will specify and run those communications cables. The Connecting Transmission Owner shall complete all wiring, testing and commissioning of the RTU.
