Operation Standards Sample Clauses

Operation Standards. The Manager shall perform the Services in accordance with the terms of the Loan Documents, the Leases, the Site Management Agreements, the Ground Leases, the Easements and applicable law and, to the extent consistent with the foregoing, (i) using the same degree of care, skill, prudence and diligence that the Owners employed in the management of their Sites and operations prior to the date hereof and that the Manager uses for other sites it manages and (ii) with the objective of maximizing revenue and minimizing expenses on the Sites. The Site Management Services shall be of a scope and quality not less than those generally performed by first class, professional managers of properties similar in type and quality to the Sites and located in the same market areas as the Sites. The Manager hereby acknowledges that it has received a copy of the Loan Agreement and agrees not to take any action that would cause the Owners to be in default thereunder.

Operation Standards. The Manager shall perform the Services in accordance with and subject to the terms of the Indenture and the other Transaction Documents, the Tenant Leases, the Asset Agreements and applicable law, rules or regulations and, to the extent consistent with the foregoing, (i) using the same degree of care, skill, prudence and diligence that the Manager employed in the management of Tenant Site Assets prior to the date hereof and, to the extent applicable, that the Manager uses for other similar assets it manages and (ii) with the objective of timely collections of Rents under the Tenant Leases. The Manager hereby acknowledges that it has received a copy of the Indenture and the other Transaction Documents and agrees not to take any action or fail to take any action within its control that would cause the Obligors to be in default thereunder. The services performed in relation to the Tenant Site Assets shall be of a scope and quality not less than those generally performed by professional managers performing services consistent with those required of the Manager under this Agreement for assets similar in type and quality to the Tenant Site Assets that are located in the same geographical market areas as the Tenant Site Assets.

The Tower Site Management Services shall be of a scope and quality not less than those generally performed by first class professional managers of properties similar in type and quality to the Tower Sites and located in the same geographical market areas as the Tower Sites. The Manager hereby acknowledges that it has received a copy of the Indenture and the other Transaction Documents and agrees not to take any action or fail to take any action that would cause the Owners to be in default thereunder.

The Site Management Services and the Administrative Services shall be of a scope and quality not less than those generally performed by first class, professional managers of properties similar in type and quality to the Sites and located in the same market areas as the Sites. The Manager hereby acknowledges that it has received copies of the Loan Documents and agrees to use its best efforts not to take any action that would cause the Owners to be in default thereunder.

Operation Standards. Chiron shall operate its facilities, process equipment, software and programs such as environmental monitoring, calibration, validation, compliance, cGMP training and maintenance in accordance with cGMPs, SOPs, BPDs and Chiron's applicable regulatory licenses.

The Site Management Services shall be of a scope and quality not less than those generally performed by first class, professional managers of properties similar in type and quality to the Sites and located in the same market areas as the Sites. The Manager hereby acknowledges that it has received a copy of each of the Transaction Documents and agrees not to take any action that would cause the Owners to be in default thereunder. The Manager further acknowledges that, in connection with future financial reporting requirements or otherwise, the Owners may, upon notice to the Manager, impose on the Manager additional reasonable restrictions or covenants or require the Manager to implement and follow certain other reasonable procedures or provide additional services, including with respect to Records and access to bank accounts.

Operation Standards. The operation of construction equipment outside an enclosed structure shall be prohibited between the hours of 7:00 p.m. and, on weekdays, the hour of 6:00 a.m. or, on weekends and legal holidays, the hour of 7:00 a.m. The Town Administrator may, upon written application, alter the hours of operation for good cause by providing written notice to Developer.

Operation Standards. DataCom agrees to operate the Fixed Network and Covered Components with appropriately trained personnel and in accordance with the standard operating practices that were in effect as of the Effective Date and modified from time to time thereafter pursuant to this Agreement as provided to DataCom by Itron.

Operation Standards. The Project Manager shall perform the Services in accordance with and subject to the terms of the NPPA and the other Transaction Documents, the Project Documents and applicable law, rules or regulations and, to the extent consistent with the foregoing, (i) using the same degree of care, skill, prudence and diligence that the Project Manager employed in the management of Project Sites prior to the date hereof and, to the extent applicable, that the Project Manager uses for other similar assets it manages and (ii) with the objective of timely collections of Gross Revenues under the Project Documents. The Project Manager hereby acknowledges that it has received a copy of the NPPA and the other Transaction Documents and agrees not to take any action or fail to take any action within its control that would cause the Obligors to be in default thereunder. The services performed in relation to the Project Sites shall be of a scope and quality not less than those generally performed by professional project managers performing services consistent with those required of the Project Manager under this Agreement for assets similar in type and quality to the Project Sites that are located in the same geographical market areas as the Project Sites.
