Common use of Operational Efficiency Clause in Contracts

Operational Efficiency. The operation of Licensor’s systems is handled by the hosting provider. Their goal of uptime is passed by Licensor directly to Licensor’s Licensees. This target is 99.9% which is equivalent to less than 45 minutes’ downtime per month. Planned downtime is not included in the calculation of operational efficiency The hosting provider monitors the systems 24 hours a day and takes immediate action if a fault occurs in order to comply with the above operational objective.
