Operations and Management. CPRF shall be an independent entity and not an employee or agent of WICHITA. In support of CPRF’s operations and to improve the mobility options for seniors and persons with disabilities throughout the WICHITA UZA, WICHITA and CPRF agree to implement this grant by executing the vehicle lease agreement to be entered into by the parties for vehicle(s) procured through this Grant and subaward. WICHITA and CPRF shall each be solely responsible for the separate operation and management of their respective transportation systems. WICHITA and CPRF agree to act with due diligence and good faith in the exercise of the operation and management of their respective systems to comply with the terms of this Agreement and to work together in a mutually supportive manner to ensure the implementation of all provisions contained in this Agreement and the vehicle lease agreement. WICHITA agrees to assist CPRF in set-up guidance for proper reimbursement and payout documents, and data submission. WICHITA will be responsible for scheduling an annual meeting with CPRF for review and future planning. Each party shall be responsible for its negligent acts or omissions and the negligent acts or omissions of its employees, officers, or directors, to the extent allowed by law.
