Operations Management Services. The Operations Manager is a cost-shared position and reports functionally to the User Council yet has the authority to represent the User Council interests and make decisions on issues related to the day-to-day operation of the system, and any urgent or emergency system operational or repair decisions, as permitted by this and any and all other memoranda of understanding or agreement. An urgent or emergency situation will be one where immediate decision authority is needed to allow the system as a whole, or any of the critical components, to continue supporting normal wide-area communications. It is recognized that the Operations Manager may have to obtain authorizations from the appropriate infrastructure owning agency to make longer-term or non-emergency capital or repair expenditure decisions.

Fees for performing operations management Services shall be $16.00 for each processed account, which is any account for which an application or renewal/return was processed, or active account which was sent a renewal notice. 3.2. Fees will be increased as of January 1st of each calendar year with reference to the 12-month percent change in the most recently published annual Consumer Price Index for All Urban Consumers (CPI- U), West Region, as reported by the U.S. Bureau of Labor Statistics (the “CPI Change”). Each annual increase in the Fees will be equal to the greater of two percent (2%) or the actual CPI Change and the lesser of ten percent (10%) or the actual CPI Change. For example, if the actual CPI Change is 1.5%, then the annual increase will be 2%, if the actual CPI Change is 3.5%, then the annual increase will be 3.5%, and if the actual CPI Change is 12%, then the annual increase will be 10%. 3.3. Fees related to travel and lodging expenses are billed at cost and apply to all meetings (including implementation, training, operations and support). Travel expenses only apply to out-of-scope travel and must therefore be pre-approved by Client. 3.4. Fees will be invoiced monthly to Client for Services performed during the prior month. Fees will be netted out of Client’s monthly revenue disbursement. Client will submit payment for any balance due to Consultant within 30 days of receiving the invoice.

Provide analysis reports monthly and annually provide revenue trends and key insights on Client lodging providers.
Operations Management Services. Management will have full responsibility and authority to manage the day-to-day operations of all of Owner’s business activities conducted at Owner’s Facility, including but not limited to: General retail management, manufacturing, processing, sales, inventory management, human resource, payroll management, security, marketing, compliance and general administrative functions, provided, however, that Management shall be required to obtain the unanimous written consent of Owner and DEP Nevada Inc., a Nevada corporation (“BAM”) (who serves as a lender to Owner) prior to taking any of the following actions on behalf of Owner in connection with Owner’s Facility:
Operations Management Services. Valkor will provide management and operations services (“Services”), including without limitation, primary management and operations services at and with respect to the Plant as set forth in Section 1 of the Agreement and in this Exhibit A. as follows: 1. All operations conducted at and within the Plant, including the design, engineering, acquisition, installation, operation and maintenance of equipment, tanks, units, pipelines facilities, vehicles and other property maintained at the site of the Plant or used or operated in connection therewith. 2. Procurement of all property and materials to be used or installed at the Plant, including the supervision, control and acquisition of: (a) raw mined ores, materials, feedstocks, and other materials; and (b) all power, water, natural gas, sewage and other utilities that may be required, installed at or used by the Plant. 3. Storage, transportation and marketing and sale, in arms-length transactions, of all crude oil, synthetic oil, bitumen oil and other hydrocarbon or petroleum products extracted, generated or produced at the Plant and the collection, accounting and disbursement of all proceeds derived from the sale of disposition thereof in accordance with the requirements and procedures set forth in the Agreement or otherwise developed between Valkor and Petroteq Oil. 4. Control all access to the Plant and oversee all security maintained or reasonably required at the Plant in order to: (a) protect Personnel and Contractors located or working within the Plant; (b) protect and safeguard the Confidential Information and all other non-public equipment, units, configurations, processes, methods, inventions, know-how and other trade secrets of Petroteq or Valkor deployed, used or stored at the Plant; and (c) to protect the integrity of the Plant and its equipment, tanks, units pipelines, facilities, vehicles and other property located at the Plant or used in connection with its operations, including any security that may be reasonably required to safeguard the Plant from access by unauthorized persons or entities. 5. Such other Services as may be described or contemplated under the Agreement. including such Services and the incidents thereto as may be reasonably required or necessary to aid Valkor in performing and discharging its duties under the Agreement.
