Common use of Operations Manual Clause in Contracts

Operations Manual. (a) Franchisee shall operate the Franchised Business in accordance with the Operations Manual, a copy of which shall be provided to Franchisee on or soon after the Effective Date. Franchisor shall have the right to modify the Operations Manual at any time by the addition, deletion or other modification of the provisions thereof. Franchisor agrees that although such modifications to the Operations Manual may be material in that they may have an effect on the operation of the Franchised Business, they may not conflict with or materially alter the terms of this Agreement. All such additions, deletions or modifications shall be effective five business days after Franchisor has given notice to Franchisee in accordance with paragraph 14.07 hereof. (b) All additions, deletions or modifications to the Operations Manual shall be equally applicable to all similarly situated Franchisees. The Operations Manual, as modified or amended from time to time, shall not alter Franchisee1 s fundamental status and rights under this Agreement. As modified from time to time, the Operations Manual shall be deemed to be an integral part of this Agreement and references to the Operations Manual made in this Agreement, or in any amendments or exhibits hereto, shall be deemed to mean the Operations Manual, as amended from time to time. (c) Franchisor shall furnish to Franchisee at no additional charge one copy of the Operations Manual per Location at the time of the Affiliate Integration Program, all of which copies shall at all times remain the sole, confidential, trade secret property of the Franchisor. Upon the expiration or termination of this Agreement for any reason whatsoever, Franchisee shall immediately return the Operations Manual to Franchisor. Except as specifically permitted by Franchisor, at no time may Franchisee, or its employees or agents, make, or cause to be made, any copies or reproductions of all or any portion of the Operations Manual and sha1l not disclose the terms thereof to any other person except employees and agents of Franchisee when required in the operation of the Franchised Business. Franchisor may, at its option in lieu of providing one copy of the Operations Manual per Location, provide an electronic copy of the Operations Manual accessible by means of electronic communication.

The Franchisor agrees to loan to the Franchisee one or more manuals, technical bulletins and other written materials (acollectively referred to as the "Operations Manual") covering ordering of supplies, manufacturing, processing and stocking and other operating and in-store marketing techniques. The Operations Manual is the sole property of the Franchisor and shall operate be used by the Franchised Business Franchisee only during the term of this Agreement and in strict accordance with the Operations Manual, a copy of which terms and conditions hereof. (c) Franchisor shall furnish to Franchisee at no additional charge one her copy of the Operations Manual per Location at as instructed by the Franchisor and shall conform operations with the updated provisions within a reasonable time after receipt of the Affiliate Integration Program, all of which copies such updated information. The Franchisee shall at all times remain during the soleterm of this Agreement own and control the MZBIZ TAX SERVICES LLC franchise authorized hereunder. The Franchisee shall not operate any other business or profession from or through the franchise location. If the Franchisee is an entity, confidentialthe entity shall only operate the MZBIZ TAX SERVICES LLC franchise governed by this Agreement and no other business, trade secret property unless the Franchisee receives the Franchisor's prior written approval. Upon request of the Franchisor. Upon , the expiration or termination of this Agreement for any reason whatsoever, Franchisee shall immediately return promptly provide to the Operations Manual Franchisor proof, reasonably acceptable to Franchisor. The Franchisee shall immediately return not operate any other related or non-related business or profession from or through the Operations Manual to Franchisorfranchise location. Except as specifically permitted If the Franchisee is an entity, the entity shall only operate the AMJOBZ franchise governed by Franchisorthis Agreement and no other business, at no time may Franchisee, or its employees or agents, make, or cause to be made, any copies or reproductions of all or any portion unless the Franchisee receives the AMJOBZ's prior written approval. Upon request of the Operations Manual and sha1l not disclose AMJOBZ, the terms thereof Franchisee shall promptly provide to any other person except employees and agents the AMJOBZ proof, reasonably acceptable to the AMJOBZ of Franchisee when required in the operation of the Franchised Business. Franchisor may, at its option in lieu of providing one copy of the Operations Manual per Location, provide an electronic copy of the Operations Manual accessible by means of electronic communicationsuch ownership.

Except as specifically permitted by Franchisor, at no time may Franchisee, or its employees or agents, make, or cause to be made, any copies or reproductions of all or any portion of the Operations Manual and sha1l shall not disclose the terms thereof to any other person except employees and agents of Franchisee when required in the operation of the Franchised Business. Franchisor may, at its option in lieu of providing one copy of the Operations Manual per Location, provide an electronic copy of the Operations Manual accessible Business by means of electronic communication. The Operations Manual may not be forwarded to anyone and no electronic copy provided to anyone except as provided by Franchisor.
