Opinion and 10b-5 Statement of Counsel for the Initial Purchasers. The Initial Purchasers shall have received from ▇▇▇▇▇▇▇ Procter LLP, counsel for the Initial Purchasers, such opinion and negative assurances statement, dated the Closing Date and any Additional Closing Date (if such date is other than the Closing Date), with respect to such matters as the Representatives may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
