Option to Continue Transaction. If Counterparty on any date delivers a notice of redemption of Convertible Notes pursuant to Section 16.02 of the Indenture (such date, the “Redemption Notice Date”), Counterparty may on the Redemption Notice Date elect that the following provisions shall apply from and after the Redemption Notice Date; provided that Counterparty shall make in such election a representation to Dealer that it is not, on the date of such election, in possession of material non-public information with respect to itself or the Shares: (i) The following provisions shall be deemed to have been deleted: Conversion Date, Free Convertibility Date, Notice of Exercise, Applicable Limit and Applicable Limit Price. In addition, in each of the “Net Share Settlement” and “Combination Settlement” provisions, the proviso at the end of the first sentence thereof shall be deemed to have been deleted; (ii) The provisions in this Confirmation with the captions set forth below shall be deemed to have been amended and restated in their entirety as follows: (A) Option Style: European;

  • Agreement to Continue in Force Both Parties shall adhere fully to the terms of this Agreement during the period of bona fide collective bargaining.

  • No Obligation to Continue Employment Neither the Company nor any Subsidiary is obligated by or as a result of the Plan or this Agreement to continue the Grantee in employment and neither the Plan nor this Agreement shall interfere in any way with the right of the Company or any Subsidiary to terminate the employment of the Grantee at any time.

  • Performance to Continue Each party shall continue to perform its obligations under this Agreement pending final resolution of any dispute arising out of or relating to this Agreement. However, a party may suspend performance of its obligations during any period in which the other party fails or refuses to perform its obligations.

  • Condition to Contract As a condition to this Agreement, Contractor shall execute the “Chapter 12B Declaration: Nondiscrimination in Contracts and Benefits” form (form HRC-12B-101) with supporting documentation and secure the approval of the form by the San Francisco Human Rights Commission.

  • No Obligation to Continue Business Relationship Neither the Plan, this agreement, nor the grant of this option imposes any obligation on the Company to continue the Optionee in employment or other Business Relationship.
