Common use of Order of Precedence Clause in Contracts

Order of Precedence. If a conflict occurs between this Agreement and any Appendix, Exhibit or Schedule, unless otherwise specifically stated in the Appendices, Exhibits or Schedules, the order of precedence shall be: (i) First, this Agreement; (ii) Second, Schedule I and the Appendices thereto; and (iii) Third, any other Appendix, Exhibit or Schedule. provided, however, that this Agreement shall control if a conflict occurs between this Agreement and any Appendix, Exhibit or Schedule and the NAV Error Policy, except as expressly set forth in the NAV Error Policy.
