Common use of Order to Suspend Clause in Contracts

Order to Suspend. The Client may at any time instruct the Contractor to suspend the supply of Products or any portion thereof for such time and in such manner as the Client may reasonably consider necessary and during such suspensions the Contractor shall properly protect and secure the Products, against any deterioration, loss or damage, as considered necessary or required by the Client. Any Cost reasonably incurred and properly documented by the Contractor in giving effect to the Client’s instructions under this GC 19.1 shall be borne and paid by the Client unless otherwise explicitly provided in the Agreement, or, unless such suspension is: (i) necessary by reason of some material default on the part of the Contractor, or (ii) due to reason of Force Majeure, or (iii) necessary for the proper supply of Products or for the safety of the Products, and the safety of persons or any part thereof in so far as such necessity does not arise from any act or default by the Client, or any other contractors working for the Client. The Contractor shall not be entitled to recover any such extra cost unless, within fourteen (14) Days after receipt of the order to suspend, it gives to the Client prior written notice of its intention to make such claim, in the form of a Proposal for Variation Order in accordance with GC 15.
