Common use of Original Issue of Senior Notes Clause in Contracts

Original Issue of Senior Notes. Upon execution of this Third Supplemental Indenture, the 4.80% Series A Notes in the initial principal amount of $300,000,000 and the 6.05% Series A Notes in the initial principal amount of $250,000,000 may be executed by the Issuer. Such Senior Notes may be delivered to the Trustee for authentication, and the Trustee shall thereupon authenticate and deliver said Senior Notes to or upon the written order of the Issuer, signed by its Chairman, President or any Vice President and its Secretary or an Assistant Secretary, without any further action by the Issuer. Further, upon execution of this Third Supplemental Indenture, the 4.80% Series B Notes in the initial principal amount not to exceed $300,000,000 and the 6.05% Series B Notes in the initial principal amount not to exceed $250,000,000 may be executed by the Issuer. Such Senior Notes may be delivered to the Trustee to hold until a Registration Statement THIRD SUPPLEMENTAL INDENTURE 39 has been declared effective by the SEC and the Exchange Offer has been consummated or a resale has been effected under such Registration Statement, and the Trustee shall thereupon authenticate and deliver said Senior Notes to or upon the written order of the Issuer, signed by its Chairman, President or any Vice President and its Secretary or an Assistant Secretary, without any further action by the Issuer.
