OTHER COMMISSIONS. Commissions and service fees on products of other companies which have marketing agreements with the Company or its affiliates will be paid in accordance with the Career Agent Miscellaneous Products Commission Schedule in effect on the effective date of this contract or as amended by the Company from time to time thereafter.
OTHER COMMISSIONS. Neither the Company nor the Material Subsidiaries is a party to any contract, agreement or understanding with any person that would give rise to a valid claim against the Company or the Initial Purchasers for a brokerage commission, finder's fee or like payment in connection with the offering and sale of the Securities other than in connection with the financial advisory services relating to the Offering and the fair and reasonable opinion to be delivered in accordance with the rules of the JSE.
OTHER COMMISSIONS. THE EMPLOYEE AGREES TO REMIT TO THE COMPANY ANY AND ALL COMMISSIONS, FEES AND BONUSES WHICH MAY BE MADE PAYABLE TO HIM WHICH HE RECEIVES AS A RESULT OF HIS REFERRAL OR SALES OF INSURANCE WHILE EMPLOYED BY THE COMPANY. 8. PROPERTY RIGHTS. THE EMPLOYEE AGREES THAT ANY AND ALL WORK PRODUCTS HE PRODUCES, INCLUDING BUT NOT LIMITED TO EXPIRATIONS, RENEWALS, EXPIRATIONS LISTS, MANUALS, INSURANCE DAILIES, CUSTOMER LISTS, COMMISSIONS OR PREMIUMS, LISTS OF COMMISSIONS ON PREMIUMS, ADVERTISING COPY AND SALESMANSHIP POINTERS SHALL BE CONSIDERED THE EXCLUSIVE PROPERTY OF THE COMPANY AND SHALL REMAIN SO AFTER TERMINATION OF THIS AGREEMENT. THE ABOVE ENUMERATIONS ARE INTENDED TO BE ILLUSTRATIONS ONLY. 9. PROTECTION OF BUSINESS. IN ORDER THAT THE COMPANY SHALL CONTINUE TO RECEIVE THE BENEFIT OF THE GOODWILL AND RELATIONSHIPS WITH CUSTOMERS WHICH IT ENJOYS, THE EMPLOYEE AGREES THAT:
(a) For a period of three (3) years after the Employee ceases to be employed by the Company, the Employee will not directly or indirectly, within the Delmarva Peninsula or Anne Arundel County, Maryland, whe▇▇▇▇ alone or as an employee, officer, director, stockholder, member, or partner of any other entity, or as a trustee, fiduciary, or other representative of any other such activity, solicit, sell, serve, divert or receive insurance brokerage or employee benefit business to or from any party which was a customer or an actively solicited prospective customer of the Company as of the date of termination or during the period of eighteen (18) months prior to said termination date.
(b) For a period of three (3) years after the Employee ceases to be employed by the Company, the Employee will not, directly or indirectly, engage in the insurance agency, insurance brokerage or employee-benefit business in the Delmarva Peninsula or Anne Arundel County, Maryland.
(c) During and after the Employee's employment with the Company, the Employee shall not disclose or divulge to third parties, any confidential information concerning the Company, its business, or its customers. All information regarding the Company, and its business, including but not limited to information regarding the Company's former, current or prospective customers, employees and markets, methods of doing business, systems, procedures and financial performance and condition shall be presumed to be confidential information of the company for purposes of this Agreement except to the extent that any such information is otherwise in the public...
OTHER COMMISSIONS iXL agrees to pay Siteman a [*] percent [*] finder's fee in connection with any services provided by iXL to Clients that are referred to iXL by Siteman (excluding iXL Clients and clients that are or were clients of iXL prior to such referral). The payment of such finders fee shall be the subject of a separate agreement between the parties to be negotiated within thirty (30) days after the Effective Date.
OTHER COMMISSIONS. Sellers agree to indemnify and hold Purchasers harmless from and against any loss, liability, damage, cost or expense (including, without limitation, court costs and reasonable attorneys' fees) paid or incurred by any Purchaser by reason of any claim to any broker's, finder's or other fee in connection with this transaction by any party claiming by, through or under Sellers. Purchasers agree to indemnify and hold Sellers harmless from and against any loss, liability, damage or expense (including, without limitation, court costs and reasonable attorneys' fees) paid or incurred by any Seller by reason of any claim to any broker's, finder's or other fee in connection with this transaction claiming by, through or under Purchasers.
OTHER COMMISSIONS. The Employee agrees to remit to the Company any and all commissions, fees and bonuses which may be made payable to him which he receives as a result of his referral or sales of insurance while employed by the Company.
OTHER COMMISSIONS. At the Closing, there will be no commission payments due from Sellers to any Person with respect to the Assets except for the December 2006 Owner Commissions which will be paid by Purchaser after the Closing.
