Other Exchange Procedures. Notwithstanding anything to the contrary herein, if the board of directors of GreenSky shall determine in good faith that additional restrictions on Exchange are necessary so that the Company is not treated as a “publicly traded partnership” under Section 7704 of the Code, GreenSky or the Company may impose such additional reasonable restrictions on Exchange as the board of directors of GreenSky has determined in good faith to be so necessary based on advice of counsel.
