Other Fee. Other than in respect of professional service fees, there is not agreement, plan or practice of Gamora relating to the payment of any management, consulting, service or other fee and, except for the Gamora Option Plan, ▇▇▇▇▇▇ does not have in effect any bonus plan, commission plan, profit sharing plan, pension plan, royalty plan or arrangement, defined benefit plan, stock option plan, incentive plan or other benefit plan for the benefit of any of its employees, officers, directors or shareholders, and has made no agreements or promises with respect to any such plans.
