Common use of Other Improvements Clause in Contracts

Other Improvements. If portions of the Project or property adjacent to the Project (collectively, the "Other Improvements") are owned by an entity other than Landlord, then, so long as Tenant's rights under this Lease (including, without limitation, Tenant's use and occupancy of, and access to, the Premises, parking areas, and/or Project) are not materially impaired, impeded, or otherwise materially and adversely affected, or Tenant's costs or expenses payable under this Lease materially increased, Landlord may, at its option, enter into an agreement with the owner or owners of any of the Other Improvements to provide (a) for reciprocal rights of access, use and/or enjoyment of the Project and the Other Improvements, (b) for the common management, operation, maintenance, improvement and/or repair of all or any portion of the Project and all or any portion of the Other Improvements, (c) for the allocation of a portion of Operating Costs and Taxes to the Other Improvements and the allocation of a portion of the operating expenses and taxes for the Other Improvements to the Project, (d) for the use or improvement of the Other Improvements and/or the Project in connection with the improvement, construction, and/or excavation of the Other Improvements and/or the Project, and (e) for any other matter which Landlord deems appropriate or necessary. Nothing contained herein shall be deemed or construed to limit or otherwise affect Landlord's right to sell all or any portion of the Project or any other of Landlord's rights described in this Lease.

Nothing contained herein shall be deemed or construed to limit or otherwise affect Landlord's right to sell all or any portion of the Project or any other of Landlord's rights described in this Lease.

If portions of the Project Real Property or property adjacent to the Project Real Property (collectively, the "“Other Improvements"”) are owned by an entity other than Landlord, then, so long as Tenant's rights under this Lease (including, without limitation, Tenant's use and occupancy of, and access to, the Premises, parking areas, and/or Project) are not materially impaired, impeded, or otherwise materially and adversely affected, or Tenant's costs or expenses payable under this Lease materially increased, Landlord mayLandlord, at its option, may enter into an agreement with the owner or owners of any of the Other Improvements to provide (ai) for reciprocal rights of access, use and/or enjoyment of the Project Parking Facilities and the Other Improvementsother Common Areas, (bii) for the common management, operation, maintenance, improvement and/or repair of all or any portion of the Project and all or any portion of the Other ImprovementsProject, (ciii) for the allocation of a portion of Operating Costs Expenses and Real Property Taxes to the Other Improvements and the allocation of a portion of the operating expenses and taxes for the Other Improvements to the ProjectBuilding, (div) for the use or improvement of the Other Improvements and/or the Project Building in connection with the improvement, construction, and/or excavation of the Other Improvements and/or the ProjectBuilding, and (ev) for any other matter which Landlord reasonably deems appropriate or necessary; provided, however, that none of the foregoing increases Tenant’s monetary obligations, materially increases any other of Tenant’s obligations, or materially diminishes Tenant’s rights, under this Lease. Nothing contained herein shall be deemed or construed to limit or otherwise affect Landlord's ’s right to sell all or any portion of the Project Real Property or any other of Landlord's ’s rights described in this Lease.

If portions of the Project or property adjacent to the Project (collectively, the "“Other Improvements"”) are owned by an entity other than Landlord, then, so long as Tenant's rights under this Lease (including, without limitation, Tenant's use and occupancy of, and access to, the Premises, parking areas, and/or Project) are not materially impaired, impeded, or otherwise materially and adversely affected, or Tenant's costs or expenses payable under this Lease materially increased, Landlord mayLandlord, at its option, may enter into an agreement with the owner or owners of any of the Other Improvements to provide (ai) for reciprocal rights of access, use and/or enjoyment of the Project and the Other Improvements, provided that such rights do not unreasonably interfere with Tenant’s use, occupancy, possession or quiet enjoyment of the Premises, Building or Project (bii) for the common management, operation, maintenance, improvement and/or repair of all or any portion of the Project and all or any portion of the Other Improvements, (ciii) for the allocation of a portion of Operating Costs and Taxes to the Other Improvements and the allocation of a portion of the operating expenses and taxes for the Other Improvements to the Project, (div) for the use or improvement of the Other Improvements and/or the Project in connection with the improvement, construction, and/or excavation of the Other Improvements and/or the Project, provided that such rights do not unreasonably interfere with Tenant’s use, occupancy, possession or quiet enjoyment of the Premises, Building or Project, and (ev) for any other matter which Landlord deems appropriate or necessary, provided that such rights do not unreasonably interfere with Tenant’s use, occupancy, possession or quiet enjoyment of the Premises, Building or Project. Nothing contained herein shall be deemed or construed to limit or otherwise affect Landlord's ’s right to sell all or any portion of the Project or any other of Landlord's ’s rights described in this Lease.
