Other Tangible Personal Property. The tangible personal property described in Sections 1.2 and 1.3 and SCHEDULES 1.2 and 1.3 of this Agreement constitutes substantially all the items of tangible personal property owned by, in the possession of, or used by Seller in connection with its MDP Business. Except as stated in SCHEDULES 1.2 and 1.3, no tangible personal property used by Seller in connection with its MDP Business is held under any lease, security agreement, conditional sales contract, or other title retention or security arrangement, or is in the possession of anyone other than an employee of Seller.
