Other Tangible Personal Property. The Equipment described in Section 1.2 and SCHEDULE 1.2 of this Agreement constitutes all the items of tangible personal property owned by, in the possession of, or used by Seller in connection with the business sold pursuant to this Agreement. The Equipment listed in SCHEDULE 1.2 constitutes all tangible personal property necessary for the conduct by Seller of the business as now conducted. The equipment inventory listed in SCHEDULE 1.2 is new equipment, or is used equipment in good condition and repair; and is sufficient in kind and quality for the installation of fully operational pay-per-view services.
