Common use of Outstanding Fees Clause in Contracts

Outstanding Fees. Termination does not relieve Customer of the obligation to pay any Fees accrued or payable to Ping Identity prior to the effective date of termination. Upon any termination for cause by Customer, Ping Identity will refund Customer any unused, prepaid Fees covering the remainder of the subscription term after the date of termination. Termination for Customer’s material uncured breach does not relieve Customer of any obligation to pay Fees that would have been payable but for such termination.
