Common use of Over-Payment Clause in Contracts

Over-Payment. If any Audit discloses that the Participant has over-paid APFs to ▇▇▇▇, such over-payment shall be subject to the applicable Rules and Policies. Without in any way limiting the foregoing, in such event, ▇▇▇▇ shall reimburse the Participant within thirty (30) days of notifying the Participant of such over- payment and no longer than ninety (90) days following the completion of the relevant Audit. If ▇▇▇▇ fails to reimburse the Participant within the earlier of thirty (30) days of providing written notice to the Participant of its over-payment or ninety (90) days following the completion of the relevant Audit, the Participant may offset the amounts over-paid against any future APFs payment or other amounts owing to ▇▇▇▇ under this Agreement.
