Common use of Own responsibility Clause in Contracts

Own responsibility. It is understood and agreed by each Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each Borrower and the Group and, accordingly, each Bank warrants to each of the Agents and the Arrangers that it has not relied on and will not hereafter rely on any of the Agents and the Arrangers: (a) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Borrowers in connection with this Agreement or the transactions herein contemplated (whether or not such information has been or is hereafter circulated to such Bank by any Agent or Arranger); or (b) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group.

Own responsibility. It is understood and agreed by each Bank Finance Party that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each Borrower and member of the Group and, accordingly, each Bank warrants to each of the Agents Agent and the Arrangers Arranger that it has not relied on and will not hereafter rely on any of the Agents Agent and the ArrangersArranger nor either of them: (ai) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by the Borrower in connection with any of the Borrowers in connection with this Agreement Finance Documents or the transactions herein contemplated (whether or not such information has been or is hereafter circulated to such Bank by any the Agent and the Arranger or Arrangereither of them); or (bii) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of the Borrower or any member of the GroupRelevant Group Company.

It is understood and agreed by each Bank Lender that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each Borrower and member of the Group and, accordingly, each Bank Lender warrants to each of the Agents Facility Agent and the Arrangers Arranger that it has not relied on and will not hereafter rely on any of the Agents and Facility Agent or the ArrangersArranger: (a) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Borrowers a Borrower or a Guarantor in connection with this Agreement or the transactions herein contemplated (whether or not such information has been or is hereafter circulated to such Bank Lender by any the Facility Agent or the Arranger); or (b) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group.
