Common use of Ownership and Goodwill of Marks Clause in Contracts

Ownership and Goodwill of Marks. The Master Licensee hereby acknowledges that the Licensor is the sole owner of the Marks and any goodwill established thereby and the Licensor has the sole right to license and control the Master Licensee’s use of the ROCKY MOUNTAIN CHOCOLATE FACTORY service mark and other of the Marks, and that the use of the Marks shall remain under the sole and exclusive control of the Licensor. The Master Licensee acknowledges that it has not acquired any right, title or interest in the Marks except for the right to use the Marks in the operation of the Master License business in the Licensed Territory pursuant to this Agreement.
