Common use of Ownership and Goodwill of Marks Clause in Contracts

Ownership and Goodwill of Marks. FRANCHISEE acknowledges that Treats Canada Corporation owns the Marks and COMPANY is a licensee thereof. FRANCHISEE further acknowledges that FRANCHISEE'S right to use the Marks is derived solely from this Agreement and is limited to the conduct of his business pursuant to and in compliance with this Agreement and all applicable specifications, standards and operating procedures prescribed by COMPANY from time to time during the term of the Franchise. Any unauthorized use of the Marks by FRANCHISEE shall constitute a breach of this Agreement and an infringement of the rights of COMPANY and its affiliates in and to the Marks. FRANCHISEE agrees that all usage of the Marks by FRANCHISEE and any goodwill established thereby shall inure to the exclusive benefit of COMPANY, and FRANCHISEE acknowledges that this Agreement does not confer any goodwill or other interests in the Marks upon FRANCHISEE, other than the right to operate the STORE in compliance with this Agreement. All provisions of this Agreement applicable to the Marks shall apply to any additional trademarks, service marks, logos and commercial symbols hereafter authorized for use by and licensed to FRANCHISEE by COMPANY.
