Common use of Ownership of Background Intellectual Property Clause in Contracts

Ownership of Background Intellectual Property. Each Party (and its respective Affiliates) shall own all right, title and interest in and to its (and their) respective Background Intellectual Property. Each Party acknowledges and agrees that, except for the licenses expressly granted in Article 9 below, neither Party (nor their respective Affiliates) shall have any rights to, or licenses under, the other Party’s Background Intellectual Property.

Ownership of Background Intellectual Property. Each As between the Parties, and subject to the licenses granted under this Agreement, each Party (retains all rights, title, and its respective Affiliates) shall own all right, title and interest interests in and to its (all Patent Rights and their) respective Background Intellectual Property. Each Know-How that such Party acknowledges and agrees that, except for owns or Controls as of the licenses expressly granted in Article 9 below, neither Party (nor their respective Affiliates) shall have any rights to, Effective Date or licenses under, that it develops or otherwise acquires after the other Party’s Background Intellectual PropertyEffective Date outside the performance of the activities under this Agreement.

Each As between the Parties, each Party will solely own (or retain ownership of) all rights, title, and its respective Affiliates) shall own all right, title and interest interests in and to its (all intellectual property to which such Party has rights and their) respective Background Intellectual Property. Each that was owned by such Party acknowledges and agrees that, except for prior to the licenses expressly granted in Article 9 below, neither Party (nor their respective Affiliates) shall have any rights to, Effective Date or licenses under, the other Party’s Background Intellectual Propertythat arose outside of activities conducted under this Agreement.

Each As between the Parties, and subject to the licenses granted under this Agreement, each Party (retains all rights, title, and its respective Affiliates) shall own all right, title and interest interests in and to its (all Patent Rights and their) respective Background Intellectual PropertyKnow-How that such Party owns or Controls as of the Effective Date or that it develops or otherwise acquires after the Effective Date outside the performance of the activities under this Agreement. Each As between the Parties, each Party acknowledges and agrees that, except shall be solely responsible for the licenses expressly granted in Article 9 below, neither Party (nor their respective Affiliates) shall have any rights to, or licenses under, the other remuneration that may be due to such Party’s Background Intellectual Propertyor its Affiliates’ inventors under any applicable inventor remuneration laws.
