Common use of Ownership of the Notes Clause in Contracts

Ownership of the Notes. The Seller holds all of the legal, beneficial and defensible title to the Notes in the principal amount set forth by its name on the signature page hereof, free and clear of any all Liens. Upon the transfer of the Notes hereunder to the Purchaser, the Purchaser will hold all of the legal and beneficial title to the Notes transferred by each Seller, free and clear of all Liens other than Liens created by Purchaser, if any.
